Zeo ScientifiX, Inc. (ZEOX) reported in an 8-K dated May 12, 2025 that on May 8, 2025 it issued 100,000 shares of common stock and warrants to purchase a further 500,000 shares to a non-affiliated consultant. The company issued the securities under the exemption from registration provided by Section 4(a)(2) of the Securities Act of 1933. The 8-K names no placement agent, underwriter or adviser for the issuance.
The consultant's warrants
The warrants vest in five equal tranches of 100,000 shares each, at exercise prices ranging from $3.50 to $10.00 per share. Once a tranche vests, it is exercisable for ninety (90) days. The 8-K says the warrants are exercisable on the terms of the consulting agreement between the company and the consultant, but it does not name the consultant or describe the services provided.
The share issue and the warrants together add to the dilution borne by existing holders. The 8-K gives no figure for the shares outstanding after the grants.
Options for officers and directors
On the same day, the company awarded options under its 2021 Incentive Stock Plan. Ian Bothwell, the interim chief executive officer and chief financial officer and a board member, and George Shapiro, the chief medical officer and a board member, each received options for 55,000 shares. Those options are fully vested on award, run for five years and carry an exercise price of $2.86 per share.
Four non-executive directors, Chuck Bretz, Jerry Glauser, Leathem Stearn and Gurvinder Pal Singh, each received two grants of options for 5,000 shares at the same $2.86 price and the same five-year term. The first grant is fully vested. Of the second, 2,000 shares vested on the grant date and the remaining 3,000 vest on September 23, 2025.
The awards are small in share terms, but they go to the people who run the company and sit on its board. The 8-K does not say how the board weighed them against the consultant's grant.
What the company does
The company's most recent annual report on Form 10-K describes Zeo ScientifiX as a clinical-stage biopharmaceutical company focused on biological therapeutics for degenerative diseases and regenerative medicine. Its proprietary products include Zofin, which is derived from perinatal sources, and Patient Pure X, an autologous product made from a patient's own peripheral blood. The products are sold mainly through doctors and clinics, and the company operates an extracellular vesicle processing laboratory in Davie, Florida. It also invested $100,000 and $45,000 in Exotropin, LLC, a skin care formulator, and launched a hair product with it in November 2024.
The 10-K says Zeo holds certain Investigational New Drug and emergency IND approvals from the FDA for Zofin, and that it is pursuing approval for additional studies. It then states a limit on that work: completing clinical trials depends on having sufficient working capital, "which the Company currently does not have."
The regulatory position is also open. The 10-K says current FDA guidance requires products of this type to be sold under an approved biologics license application. Zeo says it has obtained no opinion or ruling on whether its products fall under the FDA's enforcement policies for human cells, tissues and cellular and tissue-based products. It says it does not believe they do and intends to defend that view. It also acknowledges that an adverse ruling could limit its ability to keep generating revenue from US sales until it obtains the required licenses.
What the 8-K leaves out
The 8-K covers two items: the consultant issuance under Item 3.02 and the option awards under Item 5.02. It does not describe the company's cash position, the consultant's duties or the price at which the shares were valued.
For holders, the question is what the company receives for the equity it hands out. The 8-K answers that question only in form. It sets out the number of shares, the warrant schedule and the option terms, and leaves the value of the consulting work for readers to infer.
