The shelf and the sales agreement

ProKidney Corp. (Nasdaq: PROK) filed a Form S-3 shelf registration statement with the Securities and Exchange Commission on October 29, 2026. The base prospectus covers up to $650,000,000 of Class A common stock, preferred stock, debt securities, warrants, rights and units. Inside it sits a sales agreement prospectus for up to $200,000,000 of Class A common stock that the company may sell through Jefferies LLC under an Open Market Sale Agreement. The S-3 says the $200,000,000 is part of the $650,000,000, and that any unsold part can later be offered under the base prospectus.

A Form 8-K dated October 29, 2026 describes the same agreement. It says ProKidney may sell shares "from time to time" through Jefferies, and that the company "has no obligation to sell any of the Shares" and may suspend the offering at any time.

No shares can be sold until the S-3 takes effect, and the 8-K says the company makes "no assurances" that it will.

The banks and counsel

Jefferies LLC is the only sales agent the filings name. It is entitled to a commission of up to 3.0% of the gross sales price of shares it sells. The S-3 says Jefferies will act on a best efforts basis and may be deemed an underwriter under the Securities Act, so its compensation may be treated as underwriting commissions or discounts. ProKidney agrees to indemnify Jefferies against certain liabilities. The 8-K also says Jefferies has provided, and may provide, financial advisory and investment banking services to ProKidney for customary fees.

Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C., of Boston, is ProKidney's counsel on the shelf. The S-3 lists William C. Hicks, Esq. and Jason S. McCaffrey, Esq. as copy-to counsel, and the 8-K says the firm wrote the legal opinion on the validity of the shares. Jefferies is represented in the offering by Paul Hastings LLP of New York.

The price and the share count

The S-3 uses $1.52 per share, the last reported sale price on the Nasdaq Capital Market on October 28, 2026. Its dilution table assumes 131,578,947 shares sold at that price, which would raise the full $200,000,000 gross, and shows 337,295,136 Class A shares outstanding afterward. Those are assumptions, not sales. The filing says the prices at which shares are sold will vary, and that the actual proceeds "are not determinable at this time" because no minimum amount has to be sold. It also says there can be no assurance that ProKidney will sell any shares under the agreement.

Cash, losses and the going concern language

The S-3 does not state a cash balance. Its list of forward-looking risks includes "our ability to continue as a going concern." The XBRL data for the 10-K filed March 18, 2026 show research and development expense of $114.1 million in 2025, down from $127.7 million in 2024. The net loss was $69.0 million in 2025 against $61.2 million in 2024, and cash used in operations was $120.1 million in 2025 and $126.4 million in 2024.

Cash and cash equivalents were $108.5 million at the end of 2025 and $74.9 million at June 30, 2026, the latest balance in these filings. The S-3 says net proceeds, if any, would go to clinical trial costs, research and development, pre-commercial and commercial activities including a commercial manufacturing facility, and general corporate purposes. The filings do not say how long the current cash is expected to last.

What comes next

The S-3 has to take effect before any shares can be sold. Once it does, ProKidney could sell up to $200,000,000 of stock at market prices, with Jefferies paid up to 3.0% of each sale. Any unsold part can be offered later under the $650,000,000 base prospectus. The company is not obliged to sell anything, and the filings give no date for a first sale.
