Altimmune, Inc. (Nasdaq: ALT) drew $10.0 million on October 27, 2026 as Tranche Three of its $125.0 million Loan and Security Agreement. The company reported the draw in an 8-K filed October 29, 2026 under Item 2.03. The lender is Hercules Capital, Inc., with "other lenders party thereto." The 8-K names no administrative agent, collateral agent, placement agent or counsel. The loan agreement is dated May 13, 2025 and was amended on November 5, 2025.
What the milestone did
Tranche Three was available once the company met milestones set out in the loan agreement, which the 8-K calls the Tranche 3 Milestone. The filing does not say which clinical or financial milestones were met. Meeting it had two effects. The amortization date and interest-only period were extended to June 1, 2028, and a minimum cash covenant took effect.
A tranche facility charge of 1.0% was netted from the Tranche Three funding. An end-of-term charge of 6.25% of the amounts funded remains. The 8-K does not state the interest rate or a final maturity date, and it does not say what the company will use the $10.0 million for.
The covenant and the cash behind it
Under the minimum cash covenant, the company must keep Qualified Cash at or above 60% of the outstanding principal of its term loan advances. The 8-K does not define Qualified Cash. It therefore does not say whether short-term investments count toward the test, or what the loan balance is.
The company's quarterly filings in 2026 show cash and cash equivalents of $43.8 million and short-term investments of $229.7 million at December 31, 2025. At June 30, 2026, cash and cash equivalents were $63.0 million and short-term investments were $263.3 million. The filings do not give the loan balance, so the covenant cannot be checked against them.
The annual report filed March 6, 2026 gives a 2025 net loss of $88.1 million and cash used in operations of $67.5 million. Those are the most recent full-year figures in the filings. The loss and cash burn are the context for a covenant that ties the company's cash to its borrowings.
The company and its clinical record
The annual report describes Altimmune as a late clinical-stage company developing treatments for serious liver diseases. Its lead candidate, pemvidutide, is in development for MASH, alcohol use disorder and alcohol-associated liver disease. The report says more than 700 patients have been exposed to it in eight completed studies and two ongoing ones.
The MASH case rests on the IMPACT Phase 2b trial, which enrolled 212 people with biopsy-confirmed MASH. At 24 weeks, MASH resolution without worsening of fibrosis was 58.2% on the 1.2 mg dose and 52.1% on the 1.8 mg dose, against 19.9% on placebo. That analysis counted subjects with missing biopsies as non-responders. The 48-week topline results, announced December 19, 2025, did not include a biopsy readout, by design. They showed improvements in non-invasive measures of fibrosis and liver stiffness.
The FDA has granted Breakthrough Therapy and Fast Track designations for MASH. The report also says the company believes pemvidutide is the only glucagon and GLP-1 dual receptor agonist with balanced potency at both receptors. That is the company's view, not an independent finding.
What the filing leaves out
The 8-K is short. It gives no interest rate, no full repayment schedule, no list of the other lenders, and no definition of the milestones. The covenant depends on the company's cash position, which the 8-K does not describe. It also does not say how much of the $125.0 million facility has been drawn in total, so the remaining capacity is unknown.
