Fact-check-o-meter
Amgen's Q2 release does not mention the FDA's formal Tavneos withdrawal proposal, the July cyber incident or the IRS notice that its filings describe
Amgen's revenue figures match across its release and 10-Q. The gaps are in what the release leaves out. It refers to CDER's request to "voluntarily withdraw" Tavneos, which the 10-Q also records from January 2026, but not the formal FDA proposal of April 27, 2026 to withdraw approval. It also does not mention the July cyber incident, which Amgen's 8-K calls material while stating it is not reasonably likely to have a material impact on financial condition or results, or the IRS notice and Tax Court dispute described in the 10-Q.

Tavneos: 'request to voluntarily withdraw' versus a formal withdrawal proposal
The company said: "The Company continues to engage the FDA regarding the Center for Drug Evaluation and Research's request to voluntarily withdraw TAVNEOS from the U.S. market." source
The record says: The 10-Q says that on January 16, 2026 the FDA requested that Amgen voluntarily withdraw TAVNEOS, that Amgen informed the FDA on January 28, 2026 that it did not intend to withdraw it, and that "On April 27, 2026, CDER issued a proposal to withdraw approval of TAVNEOS." It also says Tavneos remains on the market during the process. It adds that "The proposal alleges that there is new information indicating lack of substantial evidence of effectiveness for the drug and that ChemoCentryx's application that resulted in FDA approval contained untrue statements of material facts." It also states that the FDA's March 2026 communication alerted patients to "serious liver injury cases, including fatal cases", and that the Tavneos intangible assets carry "a carrying value of $ 2.4 billion". source
Our view: These are the FDA's allegations, which Amgen disputes, and the release does say a hearing was requested on June 1. But the release does not mention the April proposal, its allegations, the liver safety communication or the $2.4 billion asset, and the 10-Q warns that future cash flow changes "could unfavorably impact" its recoverability.

Material cyber incident absent from the results release
The record says: The 8-K under Item 1.05 says: "The Company has since learned that some of its data, including proprietary data, patient protected health information, and other information, has been exfiltrated from these cloud environments." It also says the Company determined on July 29, 2026 that the incident is material, and believes it is "not reasonably likely to have a material impact on the Company's financial condition or results of operations". The 10-Q's risk factors refer back to this 8-K. source
Our view: Amgen filed the 8-K promptly, so the matter is disclosed. The Q2 release, issued days later, does not mention it, so an investor reading only the release would not see an incident the company itself classed as material. The investigation was described as ongoing.
Science · weight medium
Tavneos trial was double blind; the FDA proposal questions the evidence
The company said: "We continue to engage with the U.S. Food and Drug Administration (FDA) and believe that TAVNEOS demonstrates clinical effectiveness and a favorable benefit-risk profile." source
The record says: ClinicalTrials.gov lists the phase 3 ADVOCATE trial (NCT02994927) as randomized with quadruple masking and 331 actual participants, with remission at week 26 and sustained remission at week 52 as primary outcomes. The 10-Q says Amgen submitted "data from an independent, blinded re-adjudication of certain study data that supported the FDA's approval of TAVNEOS" on July 23, 2026. source
Our view: The registry shows a well-masked design, so the issue the 10-Q describes is how the study data were analysed and adjudicated, not a missing control arm. The outcome of the re-adjudication is not yet disclosed, and the FDA may enter summary judgment if no hearing is granted.
Press release vs filing · weight medium
IRS notice and Tax Court dispute are not in the release
The record says: The 10-Q says the IRS reissued its notice of proposed adjustments in "May and July 2026" and that "If sustained in full, the adjustments set forth in the NOPA could have a material impact on our financial statements. We intend to contest the NOPA." source
Our view: The release gives full-year tax guidance but does not mention the IRS matters. The 10-Q states no amount for the NOPA, but describes the separate Tax Court case as seeking additional federal tax of about $3.6 billion for 2010 to 2012 and about $5.1 billion plus about $2.0 billion of penalties for 2013 to 2015, with a decision expected no earlier than late 2026 or early 2027.
Legal and disclosure record · weight medium
Patent and biosimilar suits disclosed; FDA proceeding on Tavneos
The record says: Note 13 of the 10-Q covers "certain recent developments" and lists Prolia/XGEVA BPCIA litigation against Amneal, Dr. Reddy's and Alkem, and "Regeneron Pharmaceuticals, Inc. v. Amgen Inc. (action filed January 10, 2024)" and a second Regeneron action filed June 17, 2025 over PAVBLU, a CareFirst of Maryland antitrust class action now before the Fourth Circuit, and the U.S. Tax Court case Amgen Inc. & Subsidiaries v. Commissioner of Internal Revenue. The FDA withdrawal proposal for Tavneos is a regulatory proceeding described in the intangible assets note. source
Our view: These are matters Amgen discloses itself. Note 13 points to the 2025 10-K for the full list, which we did not review, so we make no statement about securities litigation beyond what the 10-Q note discusses.
