Silence's divesiran bet ends in a $20 cash offer
Silence turned one strong phase 2 readout into a $175 million raise and then a sale to Merck KGaA at a 130% premium. For holders, the outcome now rests on the deal closing, while the divesiran phase 3 and the fight with Mimrylo pass to Merck.

- Technology
- Validated in phase 2. Divesiran met its goal in 88% of PV patients against 19% on placebo, with dosing as rare as every 12 weeks.
- Odds
- Better than base rates. Rare disease drugs moved from phase 3 to filing 60.4% of the time in 2011 to 2020, and Mimrylo's approval shows the endpoint works at FDA.
- Balance sheet
- Set by the deal. Silence had $72.1 million at June 30 before a $175 million raise, and Merck's offer values the equity at about $1.3 billion.
- Main risk
- Deal completion. The takeover needs a shareholder vote, UK High Court sanction and regulatory approvals before an expected first-quarter 2027 close.
- Watch next
- Scheme vote and court dates. After that, the divesiran phase 3 start planned for the first half of 2027.

Questions investors ask
What is aibio.space's Investor Rank for Silence Therapeutics?
5 out of 10, our neutral view. Strong phase 2 divesiran data led to an agreed Merck KGaA cash offer at a 130% premium, so the outcome now rests on the deal closing. This is opinion only, not a recommendation to buy, sell or hold, and it does not consider the share price or valuation. Source
Is Merck KGaA buying Silence Therapeutics?
Yes. On October 19, 2026, Silence agreed to be acquired by Merck KGaA, Darmstadt, Germany for $20.00 in cash per ADS, an equity value of about $1.3 billion. Closing is expected in the first quarter of 2027, subject to a shareholder vote and UK court sanction. Source
What is divesiran?
Divesiran is an siRNA drug that silences TMPRSS6, a liver protein that holds down the iron hormone hepcidin. Raising hepcidin limits iron to the bone marrow and cuts red blood cell production in polycythemia vera. It has FDA fast track and orphan drug designations. Source
What were the divesiran SANRECO phase 2 results?
In 48 phlebotomy-dependent PV patients, 88% responded on divesiran against 19% on placebo over weeks 18 to 36 (p<0.0001). The every-six-weeks arm reached 93.8% and the every-12-weeks arm 81.3%, with no new safety findings. Source
How does divesiran compare with Mimrylo (rusfertide)?
Mimrylo, approved by FDA on August 28, 2026, is a weekly injection that mimics hepcidin; 76.9% of VERIFY patients responded in weeks 20 to 32. Divesiran raises the body's own hepcidin and is dosed every 6 or 12 weeks. The trials differ in design, so direct comparisons are rough. Source
Who runs Silence Therapeutics?
Chairman Iain Ross has led the company as interim principal executive officer since December 2025, when former CEO Craig Tooman left by mutual consent. Source

Silence's 'potential best-in-class' label rests on 48 patients and a cross-trial comparison
Silence's phase 2 numbers match the registry design, and its legal record is clean. The gaps are in framing: 'potential best-in-class' is asserted from a small placebo-controlled study with no head-to-head data against an approved weekly drug, and the October merger release describes a sale process that the 8-K does not describe.
Science · weight medium
'Potential best-in-class' from a 48-patient trial with no head-to-head data
The company said: "Trial met its primary endpoint, with a significantly higher proportion of clinical responders on divesiran (88%) compared to placebo (19%); placebo-adjusted response rate = 69%" source
The record says: The release describes SANRECO as "randomized, placebo-controlled, double-blind" in "48 phlebotomy-dependent PV patients," with a primary endpoint measured in weeks 18 to 36. ClinicalTrials.gov lists NCT05499013 as a Phase 1/2 study of 69 participants with a Phase 2 primary outcome of response "between week 18 and week 36." Takeda's rusfertide, approved on August 28, 2026, reports 76.9% response in "Weeks 20-32" with once-weekly dosing, under a differently worded phlebotomy-eligibility definition. source
Our view: The placebo-controlled result is real and the design is sound. But the response windows and definitions differ from the approved comparator, so 'potential best-in-class' is a hypothesis, not a finding. Safety rests on 48 patients for 36 weeks, with the long-term extension still blinded.

Runway statement sits in the 10-Q, not the results release, and a raise followed the same day
The company said: "Cash Position: Cash and cash equivalents were $72.1 million as of June 30, 2026." source
The record says: The 10-Q says cash "will be sufficient to fund our anticipated operating and capital expenditure requirements into 2028" and also "The Group will need to raise additional funding to fund its operating expenses and capital expenditure requirements in relation to its clinical development activities." On the same day, August 10, Silence announced "an underwritten public offering of approximately $150 million." The final prospectus supplement filed August 12 covers 12,962,963 ADSs at $13.50 each, about $175 million. Our view: The results release gave the cash figure without a runway estimate. The filing's 'into 2028' view excludes any new financing and excludes unachieved milestones, per the going-concern note, and the company raised money almost immediately. Nothing is contradicted, but the sequence matters to existing holders.

Merger release cites a competitive process; the 8-K does not describe it
The company said: "the result of a competitive sale process and delivers significant, immediate and certain value to our shareholders" source
The record says: The 8-K filed for the same deal sets out the terms: a scheme of arrangement needing shareholder approval at 75% in value, High Court sanction and regulatory approvals, a $13 million termination fee payable by Silence in certain circumstances, and voting support from holders of about 14% of voting power. It does not give a background of the sale process. source
Our view: The process claim is the company's description. A fuller history will normally appear in the scheme documents. Separately, and with no link stated in either filing, the 10-Q disclosed that the former chief executive left under a July 2026 separation agreement that extended change-in-control treatment of unvested options to December 14, 2026, valued at $1.4 million.
Legal and disclosure record · weight low
No material legal proceedings disclosed
The record says: Item 1, Legal Proceedings: "We are not party to any material legal proceedings at this time." source
Our view: No securities litigation or enforcement disclosed in the latest filing. The October 8-K was filed after the 10-Q and we found no litigation mentioned in it.
