Quoin Pharmaceuticals Ltd. (Nasdaq: QNRX) closed a private placement on October 14, 2025 that brought in about $16.6 million in upfront gross proceeds, according to a Form 8-K filed on October 15, 2025. The securities purchase agreement is dated October 10, 2025, and was signed with several institutional and accredited investors. The filing says warrants sold in the deal could add up to about $88.0 million more if holders pay cash to exercise them, for a total of about $104.6 million in gross proceeds. An October 10 press release gave slightly different figures: $16.5 million upfront and up to $104.5 million in total.
The terms
Investors bought 15,152 American Depositary Shares (ADSs) and pre-funded warrants for 1,993,939 ADSs. The 8-K cover says each ADS represents 35 ordinary shares. Each unit came with four warrant series, H, I, J and K, each covering up to 2,009,091 ADSs. The units sold for a combined $8.25, which the 8-K says equals the Nasdaq Minimum Price plus $0.50. Pre-funded units sold at $8.2499, the ADS price less the $0.0001 exercise price.
After estimated offering expenses, including placement agent fees, Quoin received upfront net proceeds of about $15 million. It plans general corporate purposes, including QRX003 development for Netherton Syndrome. Quoin says that, if every warrant were exercised for cash, the net proceeds would fund it into 2027. That projection rests on warrant exercises tied to events the filing does not describe as having occurred.
The purchase agreement restricts later financings. Quoin agreed, with exceptions, not to enter variable rate financings for 180 days after closing. It also agreed to enter no equity financings until the later of 60 days after the resale registration takes effect and 90 days after closing, and none below the $8.25 unit price until 180 days after effectiveness. Purchasers may join later financings for up to 25% of the amount for 12 months. Directors and officers signed 180-day lock-ups.
What the warrants depend on
Each series has a five-year outside limit but ends sooner if Quoin announces a specific event. Series H, at $9.075 per ADS, ends 30 days after FDA Type C meeting minutes indicating openness to baseline-controlled pivotal studies. Series I, at $10.3125, is split: one half ends 30 days after the primary endpoint is met in the monotherapy pivotal trial, the other half after the same event in the adjuvant trial. Series J and K, both at $12.375, end 30 days after an FDA approval (J) or a Priority Review Voucher sale (K).
Neither the 8-K nor the press release reports any of those events as having happened. The press release lists whether and when Quoin will receive the FDA minutes, and whether the trial endpoints will be met, among its uncertainties. Holders are capped at 4.99% beneficial ownership.
Investors, the director and the advisers
The press release names AIGH Capital Management, Soleus Capital, Nantahala Capital, Diadema Partners, Stonepine Capital Management, ADAR1 Capital Management and Velan Capital as investors, "among others".
Maxim Group LLC was the exclusive placement agent. Under the 8-K, Maxim received a cash fee of 7.0% of the gross proceeds, excluding the securities bought by director Dennis Langer, plus up to $75,000 for legal fees and expenses. The purchase agreement defines Blank Rome LLP as Quoin's U.S. counsel and Meitar | Law Offices as its Israeli counsel. It also defines Ellenoff Grossman & Schole LLP without saying whom it advised.
Langer bought 15,152 ADSs with warrants for about $128,641, at a combined $8.49 per ADS, above the $8.25 paid by other buyers. The 8-K says the Audit Committee and the board approved his participation.
The company
Quoin calls itself a late clinical-stage specialty pharmaceutical company focused on rare and orphan diseases. The press release says it has three products in development, including programs for Netherton Syndrome, Peeling Skin Syndrome, SAM Syndrome and Scleroderma.
The 2024 annual report says QRX003 is being tested in three regulatory clinical studies under an open IND, with five US sites open. It also reports about $2.3 million of non-affiliate market value as of June 30, 2024. None of the documents describes an approved product, and about $15 million is the only money received so far.
