Moleculin Biotech, Inc. (MBRX) entered into a warrant exercise inducement letter on August 27, 2025 with holders of existing warrants. The holders agreed to exercise warrants for up to 16,216,216 shares of common stock at $0.37 per share. The company anticipates aggregate gross proceeds of up to approximately $6.0 million from those exercises, before deducting fees and other expenses. The existing warrants were originally issued in June 2025, and the shares underlying them are registered on an effective Form S-1 (File No. 333-287727).

What the holders get in return

In return, Moleculin agreed to issue new Series F warrants for up to 64,864,864 shares, equal to 400% of the shares underlying the exercised warrants. The Series F warrants have an exercise price of $0.55 per share. They can be exercised only after shareholder approval of the issuance of the underlying shares, and for five years from that approval.

The Series F exercise price can be cut in two ways. If the company issues or sells common stock or equivalents below the Series F price, other than in exempt issuances, the price resets to the new issuance price. A share split, dividend, combination or recapitalization can also reset it to the lowest daily volume weighted average price in a window around the event. Either reset is subject to a floor price of $0.11. The Series F warrants may be exercised on a cashless basis only if no registration statement covers the resale of the underlying shares. Holders may not exercise to the extent that they would own more than 4.99% or 9.99% of the common stock outstanding. Each holder chooses the percentage and may change it, but not above 9.99%. In certain fundamental transactions, holders can receive the Black Scholes value of the Series F warrants.

Registration, restrictions and approval

Moleculin agreed to file a resale registration statement on Form S-3, or on Form S-1 if it is not Form S-3 eligible, on or before September 26, 2025. It agreed to use commercially reasonable efforts to have that statement declared effective by October 24, 2025, and to keep it effective until no holders own Series F shares. Until shareholder approval, the company agreed, with certain exceptions, not to issue common stock or common stock equivalents or to file registration statements.

The Series F warrants and their underlying shares were issued in a private placement under the exemption in Section 4(a)(2) of the Securities Act. Neither the warrants nor the shares will be registered under the Securities Act at issuance.

Who is named, and who is not

The 8-K names no placement agent, no counsel and no financial advisor. Item 7.01 says the $6.0 million gross figure is before "financial advisory fees," but it does not name the advisor.

The company's own description

Moleculin describes itself, in the business section of its annual report filed by the story date, as a late-stage pharmaceutical development company running a pivotal Phase 3 trial of Annamycin, a non-cardiotoxic anthracycline, combined with cytarabine for relapsed or refractory acute myeloid leukemia. The company says the trial should have an interim unblinding of data by the end of 2025 and an additional unblinding in the first half of 2026.

The company's response figures for Annamycin rest on a small group. It reports a complete response rate of 50%, a composite complete response rate of 60%, and overall survival of approximately 11 months, in N=10 patients with relapsed or refractory AML treated with Annamycin and cytarabine as second-line therapy. It says Annamycin was non-cardiotoxic in N=84 patients. The business section frames several of these results as beliefs, and it says its limited resources lead it to focus mainly on Annamycin.

The company says composition of matter patent protection runs through 2040, and that Annamycin has orphan drug and fast track status.
