The sales raised $0.48 million, and anti-dilution terms cut the exercise price of the August 2026 Series I Warrants to $0.51.
Nasdaq staff says Moleculin is not eligible for a compliance period because it effected a 1-for-25 reverse stock split on December 1, 2025. The company plans to request a hearing, which stays any delisting action while it is pending.
Moleculin can now sell up to $19,700,000 under its at-the-market program, weeks after a July deal with warrants on 37,130,001 shares. The trial figures it cited are blinded and preliminary, drawn from 62 patients.
The company says both Annamycin arms showed favorable efficacy trends against the control arm in relapsed or refractory AML, on a full intent-to-treat basis.
Nasdaq staff issued a delisting determination against Moleculin Biotech's common stock for failing the $2.5 million stockholders' equity rule. The company said it will ask a hearing panel to stay any suspension, and its last annual report showed $4.3 million of cash and a going-concern warning.
Holders will exercise warrants for 16,216,216 shares at $0.37. They get new Series F warrants for 64,864,864 shares at $0.55, pending shareholder approval.
The stock closed below $1.00 for 30 straight business days. The company may consider a reverse stock split to regain compliance.
