CytoDyn Inc. (OTCQB: CYDY) filed a Form S-3 shelf registration statement on July 25, 2025. The preliminary prospectus covers any mix of common stock, warrants, subscription rights and units, from time to time and in one or more offerings, with an aggregate public offering price that will not exceed $100,000,000. The prospectus is marked as subject to completion, and it says the company may not sell these securities until the registration statement is effective.
Each sale would require a prospectus supplement setting out the terms, the price to the public and the net proceeds the company expects to receive. The company may sell directly to stockholders or other purchasers, or through agents or underwriters. The filing names no agent, underwriter or placement agent for any offering. It does say that the names of agents or underwriters, and their fees, commissions and discounts, would appear in a supplement. The registration statement lists Mary Ann Frantz of Miller Nash LLP in Portland, Oregon, as the contact to receive copies of communications. The experts section says the financial statements for the fiscal year ended May 31, 2025 were audited by CBIZ CPAs P.C., and that its report contains one explanatory paragraph regarding substantial doubt about the company's ability to continue as a going concern.
A shelf is a ceiling, not money
The use-of-proceeds section says the company will use the net proceeds from any sale as stated in the applicable prospectus supplement, unless it says otherwise there. The shelf sets a ceiling on what the company may raise over time. It does not raise money on its own.
The common stock is quoted on the OTCQB tier of OTC Markets Group, Inc. under the symbol CYDY. The closing price on July 24, 2025 was $0.29 per share. The company has no preferred stock, warrants, subscription rights or units listed on any market. The prospectus urges investors to obtain current market quotations.
The business the shelf would fund
The company's annual report, filed the same day for the fiscal year ended May 31, 2025, describes CytoDyn as a clinical-stage biotechnology company. Its product candidate is leronlimab, a humanized monoclonal antibody that targets the CCR5 receptor. The report's stated strategy is to continue the Phase II trial of leronlimab in patients with relapsed or refractory microsatellite stable colorectal cancer, to study the drug in other solid tumors including metastatic triple-negative breast cancer, and to develop a longer-acting version.
The annual report says the company "may need significant additional funding" to carry out that strategy in full. It adds that, beyond traditional fundraising, the company will pursue non-dilutive financing such as license agreements, co-development or strategic partnerships. The business section gives no cash balance or runway. It also does not give a timetable for FDA approval, which the strategy lists as the aim of the work.
Management and auditor changes
The same annual report says Robert E. Hoffman began as chief financial officer effective May 15, 2025, after an employment agreement signed May 2, 2025. He replaced Mitchell Cohen, who had served as interim chief financial officer from February 1, 2024.
The auditor changed in May 2025 as well. Marcum LLP notified the company on May 14, 2025 that it was resigning as independent registered public accounting firm. The same day, with the audit committee's approval, CBIZ CPAs P.C. was engaged for the fiscal year ended May 31, 2025. The annual report says CBIZ acquired Marcum's attest business on November 1, 2024, and that substantially all of the Marcum partners and staff who did attestation work joined CBIZ on that date. The report does not give Marcum's reasons for resigning.
What to watch
The filing sets a $100,000,000 ceiling for a company whose shares were quoted at $0.29 and whose annual report says it needs significant additional funding. The S-3 cannot be used until it is declared effective, and any sale will come with a supplement that names the terms and the dilution. The annual report says the company will pursue non-dilutive deals in addition to traditional fundraising, and the filing does not say how much of the shelf it expects to use.
