CytoDyn and the holders of two $28.5 million convertible notes agreed to extend both maturities by 36 months, to April 2029. In return, the company will pay $1,000,000 a month in common stock, and the interest rate falls to 5%.
CytoDyn can sell up to $30 million of common stock to Yorkville Advisors Global over 36 months, at its own discretion and with no warrants attached. The release names no placement agent or counsel, and the annual report says the company will pursue non-dilutive financing in addition to traditional fundraising.
CytoDyn filed a Form S-3 shelf that would let it offer up to $100,000,000 of stock, warrants, subscription rights and units. The stock is quoted on the OTCQB, where it closed at $0.29 on July 24, 2025, and the shelf cannot be used until it takes effect.
What CytoDyn does
CytoDyn Inc. is a clinical-stage biotechnology company focused on the clinical development of leronlimab (also referred to as PRO 140), a humanized monoclonal antibody targeting the C-C chemokine receptor type 5 (CCR5). The company's business centers on leronlimab's potential in solid-tumor oncology. Its strategy includes completing the Phase 2 CLOVER study in relapsed/refractory microsatellite stable colorectal cancer and conducting additional studies in other solid-tumor indications, including metastatic triple-negative breast cancer. CLOVER evaluates leronlimab in combination with trifluridine and tipiracil (TAS-102) plus bevacizumab. The company announced successful completion of enrollment in the CLOVER study on April 21, 2026, and on April 27, 2026 completed enrollment and first dosing of the first participant in its Expanded Access Program for triple-negative breast cancer. On June 4, 2026, Natera, Inc. and CytoDyn announced a strategic collaboration under which Natera will assess CLOVER trial samples and provide real-world data analyses. The company says it will need significant additional funding and will pursue non-dilutive financing, including license agreements, co-development and strategic partnerships. The asset was acquired from Progenics, which led its preclinical and early clinical development through 2011.
