Advanced Biomed Inc. (Nasdaq: ADVB) told the Securities and Exchange Commission on November 14, 2025 that it could not file its quarterly report for the period ended September 30, 2025 on time. In a Form NT 10-Q, a notice of late filing under Rule 12b-25, the company said the review of its financial statements "has not yet been completed." It anticipates filing the quarterly report, with financial statements, within the extension period the rule allows.

What the notice says

The notice describes the delay as a failure to file "within the prescribed time period without unreasonable effort or expense." It gives no detail on what the review covers or whether it could change any reported figure. The company answered yes when asked whether all other periodic reports required over the past 12 months had been filed. It answered no when asked whether it expected a significant change in results of operations from the year-earlier period.

Chief Executive Officer Yi Lu signed the notice on November 14, 2025. Fang Liu is the contact person. The company's principal executive office is on Xiaodong Road in Yongkang District, Tainan City, Taiwan.

The business behind the delay

Advanced Biomed is a Nevada holding company that operates through Advanced Biomed Taiwan and Advanced Biomed HK, according to its annual report for the fiscal year ended June 30, 2025. Its products are meant for early screening, diagnosis and staging, and treatment of cancer, by detecting circulating tumor cells and related markers in blood samples. The annual report says the products can assist with treatment selection and prognosis once the required licenses and approvals have been obtained. As of June 30, 2025, the company says it had not begun sales of its products and had no revenue-generating products, and it expects to obtain the required registration certificate by October 2027. The annual report says each product must clear three stages with China's National Medical Products Administration before it can be sold to customers.

A going-concern warning

The annual report says the company incurred net losses for the years ended June 30, 2025 and 2024, and that these conditions give rise to substantial doubt about its ability to continue as a going concern. It reports a net loss of $3,258,969 for fiscal 2025 and $2,782,278 for fiscal 2024. Net cash outflows from operating activities were $5,825,055 in fiscal 2025, against $2,126,340 a year earlier.

The working capital surplus at June 30, 2025 was $3,143,443, compared with $318,650 at June 30, 2024. The annual report puts the company's public float at approximately $4.43 million, based on the closing price on June 30, 2025. It lists 21,640,000 common shares outstanding as of October 8, 2025.

A listing notice

On July 18, 2025, Nasdaq notified the company that it was not in compliance with the minimum bid price requirement. The company received 180 calendar days, until January 14, 2026, to regain compliance. The annual report says the company has told Nasdaq it intends to cure the deficiency during a second compliance period, including, if necessary, through a reverse stock split.

What the filing leaves open

The notice says only that the quarterly report will be filed within the extension period. It does not include revenue, a net loss or cash figures for the quarter ended September 30, 2025. Investors who want to judge the quarter must wait for the report itself. The annual report, filed before the notice, carries the going-concern language, and the notice does not say whether the review concerns the cash or loss figures that the annual report already flags.
