The board approved Amendment No. 1 to the rights agreement with Computershare, moving the final expiration date to the close of business on October 27, 2027.
Scancell will acquire Neuphoria in an all-share deal that would create a combined company listed on Nasdaq, alongside a financing of up to $89 million.
Nasdaq accepted Neuphoria's plan on September 10, 2025, after a July 18, 2025 notice that it had not held an annual meeting. The company has until December 29, 2025 and says it will file its Form 10-K on or before September 29, 2025.
Neuphoria Therapeutics received a Nasdaq notice that it did not hold an annual meeting within a year of its June 30, 2024 fiscal year end. It has until September 1, 2025 to submit a plan, and its annual report for that year carries a going-concern warning with cash that, combined with an ATM facility, is expected to fund work into late in the first quarter of fiscal 2026.
Neuphoria said it needs more time to compile supporting documents and let its auditor finish its review. It expects to file within the five-day extension period.
The Supreme Court of New South Wales approved the scheme of arrangement. Neuphoria shares are expected to start trading on Nasdaq as NEUP on December 24, 2024.
Neuphoria Therapeutics Inc. is a Delaware clinical-stage biotechnology company. Its lead product candidate, BNC210, is an oral, selective negative allosteric modulator of the alpha7 nicotinic acetylcholine receptor. BNC210 did not meet the primary endpoint of its Phase 3 AFFIRM-1 trial in social anxiety disorder, announced October 20, 2025, and the company discontinued that program. Its PTSD program, which met the primary endpoint of the Phase 2b ATTUNE trial, is clinic-ready with no active clinical trial. After restructuring, Neuphoria retained only one full-time employee, and its partners continue programs independently. These include Merck's alpha7 positive allosteric modulator program, the KAT6 program that Pfizer controls and that has entered Phase 3, and Carina's CNA3103 CAR-T candidate in a Phase 1/2a trial in metastatic colorectal cancer. On July 23, 2026, Neuphoria entered an Agreement and Plan of Merger with Scancell Holdings plc. If completed, each share would convert into the right to receive Scancell American Depositary Shares and one contingent value right. The parties expect the transactions to close in late calendar 2026, but there is no assurance they will close.
