Neuphoria Therapeutics Inc. (Nasdaq: NEUP) said its board of directors entered into Amendment No. 1 to the Rights Agreement with Computershare Trust Company, N.A., as rights agent, on October 23, 2026. The amendment extends the Final Expiration Date of the original agreement to the close of business on October 27, 2027, unless it is earlier extended, modified or terminated. The company reported the change in a Form 8-K signed by Spyridon Papapetropoulos, its interim chief executive officer.

The original agreement

Computershare Trust Company, N.A. is the rights agent under both the original agreement and the amendment. The original Rights Agreement is dated October 27, 2025. It was filed as Exhibit 4.1 to a Form 8-K filed with the SEC on that date, and it includes the form of Certificate of Designation as Exhibit A and the form of Right Certificate as Exhibit B. The amendment is filed with the current report as Exhibit 4.2 and is dated October 23, 2026. The rights remain subject to and governed by the original agreement, as amended.

Background from the annual report

The annual report for the fiscal year ended June 30, 2026, filed on September 18, 2026, describes a company focused on completing its proposed merger with Scancell Holdings plc, preserving cash, maintaining its public company and contractual obligations, and managing its intellectual property and economic interests in partnered programs. The report says the company retained only one full-time employee and that, during fiscal 2026, it terminated its facility leases and canceled, paused or deferred its major internal research and development activities.

The report says the company's lead product candidate, BNC210, did not meet the primary endpoint in the Phase 3 AFFIRM-1 trial in social anxiety disorder, announced on October 20, 2025. Neuphoria discontinued that program and did not start the planned AFFIRM-2 trial. It kept the post-traumatic stress disorder program clinic-ready but paused the planned SYMPHONY Phase 2b/3 trial pending the strategic transaction review and the planned merger.

The report also describes partner programs that continue on their own. These include Merck's alpha7 positive allosteric modulator program, the KAT6 program licensed to Pfizer Inc. by the former Cancer Therapeutics Cooperative Research Centre, and Carina Biotech's CNA3103 program. The Merck collaboration includes MK-4334, which has completed Phase 1 studies, and MK-1167, which was evaluated in a Merck-led Phase 2 trial in Alzheimer's disease dementia that has since been terminated.

Financial position

The financial data reported to the SEC show revenue of $1.2 million for the fiscal year ended June 30, 2026, compared with $15.6 million for fiscal 2025. The net loss was $13.5 million for fiscal 2026, compared with a net loss of $369,632 for fiscal 2025. Cash used in operations was $12.4 million in fiscal 2026, while fiscal 2025 shows cash from operations of $77,229. Year-end cash and cash equivalents were $19.9 million at June 30, 2026, and $14.2 million a year earlier.

Merger conditions and open questions

The rights agreement now runs until October 27, 2027, unless it is extended, modified or terminated earlier. The 8-K gives no reason for the extension, which comes while the company has one full-time employee, a failed Phase 3 trial and revenue of $1.2 million for the year.

The annual report says the parties to the Scancell merger expect the transactions to close in late calendar 2026, but that there is no assurance they will close or when. Completion requires approval by Neuphoria's stockholders and by Scancell's shareholders, effectiveness of a registration statement on Form F-4, and approval for listing Scancell's American Depositary Shares on Nasdaq. It also requires Scancell to receive at least $75.0 million in gross proceeds from a concurrent financing, and Neuphoria to have at least $10.0 million of closing net cash as of December 31, 2026 or the closing, if earlier. Each Neuphoria share would convert into Scancell American Depositary Shares and one contingent value right, and the report says there can be no assurance that any holder of those rights will receive a payment.
