Clearmind Medicine will issue $1,000,000 of convertible notes for $900,000 in cash, under a one-time exception to its own $2,500,000 quarterly limit. The agreement also amends the conversion price and sets a $1.875 floor price per share.
The notes carry a $1,500,000 principal amount and a cash purchase price of 90% of principal. The sale falls under an investor agreement amended in April 2026.
The split is part of the company's plan to regain compliance with Nasdaq's minimum bid price rule. Issued shares fall from 10,190,337 to about 1,019,033.
The amendment raises the subscription amount so that $10,000,000 of capacity remains for future convertible promissory notes.
