Clearmind Medicine Inc. said in a Form 6-K dated April 30, 2026 that it has amended its securities purchase agreements for convertible promissory notes. The company first entered into the agreements on September 17, 2025, with investors it calls the CLA Investors. It agreed to issue the notes from time to time, up to an aggregate principal amount of $10,000,000.

The April 30 amendment increased the Subscription Amount so that, as of that date, $10,000,000 of capacity remains available for future issuances of additional notes. The full amendment is filed as Exhibit 10.1.

The report does not give the interest rate, maturity, conversion price or security for the notes, and it does not say what Clearmind will use the money for. The filing does not name the CLA Investors and names no placement agent or advisor.

In the same report, Clearmind said its chairman, Amitay Weiss, stepped down from the board on April 26, 2026, and that the board appointed Hila Kiron-Revach as chairperson on April 27, 2026. The company said his resignation was not due to any disagreement with the company.
