Viatris agreed to buy Pacira for $36.50 a share in cash, an equity value of $1.65 billion, through a tender offer and a second-step merger. The release states no premium to the recent share price.
Pacira is shutting down its 45-liter EXPAREL suite in San Diego and cutting 71 employees, about 8% of its workforce. It expects $2.4 million to $2.8 million of cash charges in the third quarter and about $13 million a year in lower operating expenses.
Pacira is closing its 45-liter EXPAREL manufacturing system and cutting about 70 Technical Operations jobs, and the employee note it filed says the larger 200-liter process in San Diego and Swindon now supplies the product.
The July 3, 2025 credit agreement is a $300.0 million senior secured revolver maturing July 3, 2030, and Pacira used part of it to repay its term loan A without prepayment penalties or fees. Wells Fargo Bank is administrative agent, and Wells Fargo Securities, Citizens Bank and Truist Securities are joint bookrunners and lead arrangers.
Pacira signed a $300.0 million senior secured revolving credit facility with Wells Fargo as administrative agent, and used part of it to repay its 2023 term loan A. The filing does not say how much was drawn.
Pacira BioSciences says its board approved a $300.0 million repurchase program on April 17, 2025, replacing the program announced in May 2024, while EXPAREL still accounts for most of its revenue.
Pacira BioSciences is focused on non-opioid pain therapies. It has three commercialized non-opioid treatments: EXPAREL, its flagship long-acting local analgesic approved for postsurgical pain management; ZILRETTA, an extended-release intra-articular corticosteroid injection indicated for osteoarthritis knee pain; and iovera, a handheld device that delivers precisely controlled doses of cold temperature to a targeted nerve for drug-free pain control. Its pipeline includes PCRX-201, enekinragene inzadenovec, a locally administered gene therapy in Phase 2 clinical development for osteoarthritis of the knee. PCRX-201 is the lead program from Pacira's proprietary high-capacity adenovirus, or HCAd, vector platform, which the company says enables local administration of genetic medicines for large prevalent diseases. The company says its mission is to deliver innovative, non-opioid pain therapies to transform the lives of patients.
