Erick Frim resigned as interim chief financial officer on September 29, 2026, and the board appointed Eric Sherb effective October 1, 2026, at a base salary of $60,000 a year.
The appointment on September 10, 2026 followed a First Amendment to a settlement agreement that sets the board's interim makeup. Chae has been Co-Chief Executive Officer since May 4, 2026.
Under an agreement dated August 19, 2026, FreeT Inc. assigned to Apimeds Pharmaceuticals a set of Apitox rights, including 100% of the Korean medicine clinic market and a 25% royalty entitlement on U.S. proceeds.
The one-for-ten split took effect on July 24, 2026, and the stock trades on NYSE American under APUS on a split-adjusted basis, with par value cut to $0.001.
The company said on July 13, 2026 that its one-for-ten reverse split would take effect on July 24, after a March 2026 target passed without a filing.
Apimeds (APUS) says it needs more time to finalize financial statements for the quarter ended March 31, 2026 and expects to file within a five-calendar-day extension. Its latest 10-K carries a going concern paragraph.
Apimeds named Sungjoon Chae Co-Chief Executive Officer on May 4, 2026 on a stockholder's nomination. The Form 8-K, dated May 5, 2026, describes his background as an architect and urban designer.
NYSE Regulation told Apimeds Pharmaceuticals US on April 17, 2026 that it had not filed its 2025 annual report on time. The company has until October 15, 2026 to file, its stock carries a ".LF" tag, and a trading halt that began April 2 is still in effect.
Apimeds says it cannot file its quarterly report for the period ended June 30, 2025 on time and expects to file within the five-day extension. Its lead drug, Apitox, rests on a prior Phase III trial that the company's own filing describes in conflicting terms.
Apimeds is selling 3,375,000 shares at $4.00 for $13.5 million gross and listing on the NYSE American as APUS. Its controlling holder stays above 54%, and the company carries a going-concern paragraph from its auditor.
Apimeds Pharmaceuticals US, Inc. is a Delaware corporation that closed a merger on December 1, 2025, in which MindWave Innovations Inc. became a wholly owned subsidiary. The company conducts its business through two wholly owned operating subsidiaries, Lokahi Therapeutics, Inc. and MindWave Innovations Inc. Lokahi is a clinical stage biopharmaceutical company developing Apitox, an intradermally administered bee venom-based toxin, with its focus on inflammation and pain management symptoms associated with knee OA and, to a lesser extent, MS. Apitox is a purified, pharmaceutical grade venom from the western honeybee, which the FDA classifies as an active pharmaceutical ingredient. Apimeds Inc. markets and sells the product in South Korea as Apitoxin for the treatment of OA, but the company says it is not associated with those sales and that Apitoxin has not yet been approved by the FDA for any indication. The company also describes a 1-for-10 reverse stock split and a change in control tied to a new NYSE American listing application.
