Apimeds Pharmaceuticals US, Inc. (NYSE American: APUS) said NYSE Regulation sent it a notice on April 17, 2026 because it did not file its Form 10-K for the year ended December 31, 2025 on time. The company disclosed the notice in a Form 8-K filed April 22, 2026 and in a press release attached to it.

The cure period

The notice cites the timely filing criteria in Section 1007 of the NYSE American Listed Company Manual. NYSE told the company it has an initial cure period of six months from April 17, 2026. The company can regain compliance by filing the 10-K before that deadline. The press release puts the end of the period at October 15, 2026.

If the deadline passes

If the company has not filed the 10-K and any later reports by the end of the initial period, NYSE American may, in its sole discretion, let the stock keep trading for up to an additional six months. If the exchange decides that an additional period is not appropriate, suspension and delisting procedures begin under Section 1010 of the Company Guide.

Why the report is late

The press release says Apimeds filed a Form 12b-25 on March 31, 2026, stating that it could not file the 10-K on time without unreasonable effort or expense. The 8-K gives the date of that filing as March 31, 2025, which conflicts with the release, which says March 31, 2026. The company gives two reasons: it was still preparing and finalizing its financial statements for the fourth quarter and full year 2025, and its independent registered public accounting firm needed more time to complete its audit procedures.

The company expects to file the 10-K by April 30, 2026. It adds that "there can be no assurance that the Form 10-K will be filed by such date."

The ticker and the halt

The stock stays listed on NYSE American under APUS with an added ".LF" designation until the company is back in compliance. A trading halt on the common stock that began April 2, 2026 remains in effect, and the company says the notice does not affect it.

The business behind the filing

Apimeds describes itself as a clinical-stage biopharmaceutical company developing Apitox, an intradermally administered bee venom-based toxin. Its focus is inflammation and pain in knee osteoarthritis and, to a lesser extent, multiple sclerosis. The company says Apitox has not been approved by the FDA for any indication. It is sold in South Korea as Apitoxin by Apimeds Inc., which the filing calls Apimeds Korea; Apimeds US says it is not associated with that business or its revenues.

In its annual report for 2024, the company says an earlier Phase III osteoarthritis trial run by Apimeds Korea, with 330 patients and completed in 2018, showed improvement over placebo on its measures. The company adds that the trial, with prior development, did not meet the FDA's standards for approval because the study population was too small and the handling of missing data was inadequate, and that it will pursue a second Phase III trial. The same report says that advancing the venom for inflammatory conditions "is speculative."

The finances on file

The 2024 annual report shows no revenue, a net loss of $1,389,990 for 2024 against $777,694 for 2023, an accumulated deficit of $4,391,924, a stockholders' deficit of $1,358,121 and a working capital deficit of $1,011,277. The report says there is substantial doubt about the company's ability to continue as a going concern, and that management believes its cash as of December 31, 2024 is not sufficient to meet operating needs for 12 months. Chief Financial Officer Erick Frim signed the April 22, 2026 8-K.

What the 8-K leaves out

The 8-K and the release give no 2025 cash balance or net loss, and do not say whether the auditor has completed its work or what it has found. They do not say what the company will do if it misses the April 30 target, or whether it expects to need new financing.
