Zhengye Biotechnology Holding Limited (Nasdaq: ZYBT) filed a notice of late filing on April 29, 2025 for its annual report on Form 20-F for the fiscal year ended December 31, 2024.

The notice is a Form 12b-25. A company files it when it cannot make a periodic filing on time without unreasonable effort or expense, and it brings a short grace period of up to the fifteenth calendar day after the due date for an annual report.

Zhengye says the compilation and review of the information required in the Form 20-F "have imposed time constraints" that made timely filing impracticable without undue hardship and expense to the company. It says it is still compiling the required information. It also says its independent registered public accounting firm needs additional time to finish its review of the financial statements for the year.

Zhengye answered no when asked whether it expects a significant change in results of operations from the corresponding period for the last fiscal year.
