X4 Pharmaceuticals, Inc. (Nasdaq: XFOR) said on September 17, 2025 that it will cut its workforce by approximately 50% under a restructuring. The company disclosed the plan in a Form 8-K filed September 17, 2025 under Items 2.05, 5.02 and 7.01. The company expects annualized cost savings of approximately $13 million from the reduction.
The reduction and its cost
The 8-K says the restructuring is designed to sharpen operational focus and to align resources with the completion of the 4WARD Phase 3 trial in patients with moderate and severe chronic neutropenia. The workforce reduction is expected to be substantially completed in the third quarter of 2025. X4 estimates cash charges of approximately $3.3 million, mainly severance and other termination-related costs. It also warns that it may incur costs it has not contemplated and that the restructuring may not produce its intended benefits as quickly or as fully as expected.
Executives leave
Item 5.02 covers the departures. On September 15, 2025, the board terminated the employment of three officers, effective that day: Dr. Mary DiBiase, chief operating officer; Mark Baldry, chief commercial officer; and Natasha Thoren, chief legal and compliance officer. On September 16, 2025, Dr. Christophe Arbet-Engels resigned as chief medical officer, effective that day. The press release says he is resigning for personal reasons and will remain available to support the transition.
On September 16, 2025 the board also appointed John Volpone as chief operating officer, effective immediately, while he continues as president. Dr. Adam Craig, executive chairman, will oversee clinical development. The press release says the company's new management team has taken "the first step in streamlining the organization" to complete the 4WARD trial. That is the company's framing of the reduction.
Cash, losses and the going-concern warning
The 2024 annual report says the company had $102.1 million of cash, cash equivalents and short-term marketable securities at December 31, 2024, and an accumulated deficit of $515.4 million. Its net loss for 2024 was $37.5 million, and operating activities used $130.9 million of cash. Under its Hercules Loan Agreement, a Minimum Cash Covenant effective January 31, 2025 requires the company to keep at least $15 million of cash, 20% of outstanding borrowings. The company said there was a risk it would not meet that covenant within 12 months, in which case Hercules could accelerate the principal payments on its loans. It concluded that this condition raises substantial doubt about its ability to continue as a going concern.
The $13 million in expected annualized savings compares with $130.9 million of cash used in operations in 2024. The annual report says the company depends almost entirely on XOLREMDI for revenue, and that the product's market size and growth potential are unknown.
The product and the trial
XOLREMDI, or mavorixafor, is an oral, once-daily CXCR4 antagonist approved for WHIM syndrome in patients 12 years of age and older. It is the first drug approved in the United States for that condition, and X4 launched it in May 2024. The annual report says the company is marketing the drug and has not yet generated significant revenue from it.
The restructuring is tied to 4WARD, a 52-week, global, randomized, double-blind, placebo-controlled Phase 3 trial in chronic neutropenia aiming to enroll 150 participants. The 8-K does not give a date for its results. Outside the U.S., X4 has licensed mavorixafor to Norgine Pharma UK Limited for Europe, Australia and New Zealand, following any approvals there.
What comes next
The workforce reduction is expected to be substantially complete in the third quarter of 2025. X4 says it will continue to drive operational efficiencies, consolidate resources and strengthen its leadership structure over the coming weeks. The 8-K warns that the savings and charges may differ from current estimates.
