Vaccinex, Inc. told the Securities and Exchange Commission it could not file its Annual Report on Form 10-K for the fiscal year ended December 31, 2024 on time.

The company made the disclosure on Form 12b-25, a notice of late filing. A company files this form when it misses a report deadline. For an annual report, the form gives the company until the fifteenth calendar day after the original due date.

Vaccinex said it was unable to file within the prescribed time period without unreasonable effort or expense "due to delays it has experienced in completing its financial statements for the year ended December 31, 2024."

The company said it expects to file the Form 10-K as soon as possible, but no later than the end of the fifteenth calendar day extension period provided under Rule 12b-25.

Vaccinex said it has filed all other periodic reports required during the preceding 12 months. It also said it does not expect a significant change in results of operations from the corresponding period of the last fiscal year to be reflected in the report.
