Universe Pharmaceuticals Inc, a Cayman Islands company whose operating subsidiaries are based in Jiangxi, China, furnished its results for the six months ended March 31, 2025 in a Form 6-K filed on July 3, 2025. The company reported a net loss of $3,284,755, or $3.3 million, against $2,389,871 a year earlier. That is a 37.4% increase. Revenue fell to $9,152,915 from $12,884,370.

Sales fell as third-party prices dropped

Total revenue fell by $3,731,455, or 29.0%. Sales of the company's traditional Chinese medicine derivatives, which the filing calls TCMD products, rose by $108,341, or 1.6%, to $6,978,932. The average price per unit of those products rose to $1.15 from $1.13, while volume slipped 0.8% to 6,050,384 units.

Third-party product sales were the problem. They fell by $3,839,796, or 63.8%, to $2,173,983. The average selling price of those products dropped 46.0% to $0.81 per unit from $1.50, which the company ties to China's recently implemented nationwide centralized drug procurement policy. Units sold fell 33.3% to 2,676,396.

Gross margin rose to 34.6% from 26.2%, but gross profit still fell by $204,801, to $3,164,530. Loss from operations widened to $2.3 million from $1.7 million. General and administrative expenses rose to $3,117,727 from $968,608. The company says the increase was primarily a $1,810,272 rise in consulting fees, which it ties to underwriting expense and legal fees for a registered direct offering that closed on December 6, 2024.

Cash rose on a share sale and related-party money

Cash stood at $47,272,851 on March 31, 2025, against $29,497,693 on September 30, 2024. Financing activities supplied $16,398,355 over the six months. That total included $15,000,000 of net proceeds from issuing ordinary shares and $1,398,355 of proceeds from related-party borrowings. Bank loan draws and repayments offset at $691,486 each.

Operating activities produced $2,561,194, against $2,430,477 used in the prior-year period, even though the company lost $3,284,755. The cash flow statement shows a line of $3,555,781 for other receivable among its working capital changes. The 6-K does not describe what that receivable was or how it was collected, so the operating inflow rests on a balance-sheet movement the filing leaves unexplained.

Other obligations grew. Amounts due to related parties rose to $8,585,187 from $6,900,584. Accounts payable rose to $7,400,655 from $4,914,762. Short-term bank loans stood at $5,663,731. Total liabilities were $25,482,206, up from $22,450,452 at September 30, 2024.

Ordinary shares outstanding were 563,338 at March 31, 2025, against 42,880 at September 30, 2024. The statement of changes in equity shows 468,750 shares issued for the $15,000,000 and a reverse share-split adjustment of 51,708 shares.

The offering, the filing gaps and the tax question

The 6-K does not name the underwriter or placement agent for the December 2024 registered direct offering, so the filing names no bank or advisor for that sale. The 6-K also contains no outlook or guidance for the rest of the fiscal year and does not use the phrase going concern.

The company's annual report on Form 20-F, filed on April 29, 2025, gives more detail on its structure. The company says it is a Cayman Islands exempted company that earns substantial income from dividends paid by three PRC subsidiaries: Universe Technology, Jiangxi Universe and Universe Trade. Under the PRC Enterprise Income Tax Law, dividends paid to non-resident shareholders are normally subject to PRC withholding tax at 10%, unless a tax treaty applies.

The 20-F also says the company could be treated as a PRC tax resident if its management is found to be based in China. The company states that it is not a Chinese-controlled offshore enterprise under SAT Notice 82, but it has applied that guidance anyway because no other guidance applies to it. If it were treated as a PRC tax resident, dividends and share transfer gains could be taxed in China. The 6-K does not address that risk.
