TuHURA Biosciences, Inc. (Nasdaq: HURA), based in Tampa, Florida, said in an 8-K signed September 11, 2025 that four investors agreed to buy now about $3.2 million of stock and warrants that they had been allowed to defer until the end of 2025. In return, the company agreed to extend the expiration dates of warrants covering 1.5 million shares, so they now run to December 31, 2030. The filing dates the agreements to September 5, 2025.
The June private placement
The deferred purchases came out of a private placement first agreed on June 2, 2025. Under that securities purchase agreement, TuHURA agreed to sell 4.76 million shares of common stock, together with warrants to buy an equal number of shares at an exercise price of $3.3125. The aggregate offering amount was about $12.6 million. The combined effective price for each share and its accompanying warrant was $2.65.
Investors bought about $8.9 million of the offering in four tranches through July 24, 2025. The remaining amount, about $3.7 million, was the final tranche. Four purchasers had the right to defer part of their purchase until later, and they were required to buy and fund the final tranche by December 31, 2025. Those four were Pranabio Investments LLC, Garden Street House, LLC, Thomas C. Mollick and Matthew Nachtrab.
What changed in September
Under final purchase agreements dated September 5, 2025, the four deferral investors agreed to buy immediately an aggregate $3.2 million of the final tranche. In exchange, TuHURA signed warrant amendment agreements with each of them. Those agreements extend the expiration dates of warrants on an aggregate 1.5 million shares of common stock. The warrants were issued by the company's predecessor in a 2024 private placement of convertible notes, and their expiration is now December 31, 2030.
The filing does not give the exercise price of those 2024 warrants, the principal of the notes they came with, or their conversion terms. The final tranche was about $3.7 million, and the $3.2 million covers only part of it. The filing says nothing about the rest: no buyer, date or price. The extension of the 2024 warrants means that more warrants stay outstanding for longer, and the filing does not give the number of TuHURA shares outstanding before or after these purchases, so the added dilution cannot be measured from the filing.
The filing names no placement agent, underwriter, financial advisor or counsel for the June placement or the September purchases. The transaction is a private placement.
The business behind the placement
The annual report for 2024 describes TuHURA as a clinical stage immuno-oncology company. Its lead candidate, IFx-2.0, is described as an innate immune agonist designed to overcome primary resistance to checkpoint inhibitors. At the time of that report, the company was preparing to start a single randomized, placebo-controlled Phase 3 registration trial of IFx-2.0 with Keytruda in first-line treatment of Merkel cell carcinoma, under the FDA's accelerated approval pathway. The business section says the company has entered into a Special Protocol Assessment agreement with the FDA for the trial.
The corporate history is complicated. Its predecessor was Kintara Therapeutics, which traded on Nasdaq as KTRA. On October 18, 2024, Kintara completed a reverse merger with the legacy TuHURA business, after a 1-for-35 reverse stock split, and the company was renamed TuHURA Biosciences.
Money and what comes next
The 8-K gives no cash balance, net loss or cash used in operations. The annual report's business section gives no such figures either. The September purchase brings in about $3.2 million of new cash, but the filing does not say how that amount compares with the company's spending. Readers have only the offering totals and the 2024 warrant terms to go on.
The next dated item is the December 31, 2025 deadline for the final tranche. The filing says that deadline applied to the four deferral investors, and the 2024 warrants now run to December 31, 2030. The filing does not say whether the remaining part of the final tranche will be sold before that deadline.
