TuHURA Biosciences, Inc. (Nasdaq: HURA), a Nevada corporation based in Tampa, Florida, reported in a Form 8-K dated August 18, 2026 and signed August 19, 2026 that its stockholders approved the issue of 1,878,287 shares of common stock to Parkview Holdings One LLC. The shares are a fee under a Fee Letter dated April 21, 2026 that goes with a $50 million revolving loan from Parkview. The vote took place at the company's 2026 annual meeting on August 18, 2026.

The loan and the fee

Under a Loan Agreement dated April 21, 2026, Parkview agreed to extend the $50 million revolving credit facility to the company. In the Fee Letter of the same date, the company agreed to issue the fee shares to Parkview, subject to stockholder approval. The company first disclosed the agreement in a Form 8-K filed April 22, 2026.

The company says it issues the shares without registration. It relies on the exemption in Section 4(a)(2) of the Securities Act and on Regulation D, Rule 506, because the shares go solely to an accredited investor. The 8-K names Parkview as that investor and names no other lender.

The vote

Holders of 43,034,024 shares were present in person or by proxy at the meeting. The company had 63,682,528 shares outstanding and entitled to vote on the June 26, 2026 record date. The proposal to approve the fee shares under Nasdaq Listing Rule 5635(d) drew 28,128,581 votes for, 517,896 against and 83,855 abstentions. Broker non-votes totaled 14,303,692. The 8-K says the proposal passed by a majority of the votes cast.

Other items at the same meeting drew more opposition. The advisory vote on executive pay drew 2,484,951 votes against, and George Ng received 2,223,014 votes withheld as a director nominee. On how often to hold future pay votes, 14,472,313 votes favored three years and 13,945,985 favored one year, the 8-K says three years received the most votes. Cherry Bekaert LLP was ratified as auditor for 2026.

Cash and losses

The company's filings show cash and cash equivalents of $12.7 million at December 31, 2024, and $3.6 million at December 31, 2025. The 2025 annual report shows a net loss of $30.1 million, against $21.7 million in 2024. Cash used in operations rose to $27.6 million from $14.7 million, and research and development expense rose to $20.5 million from $13.3 million. Revenue was zero in both years.

Year-end 2025 cash of $3.6 million was smaller than the $27.6 million the company used in operations that year. The quarterly report filed August 14, 2026 puts cash and cash equivalents at $995,977 on June 30, 2026. That balance is far below the $27.6 million used in operations in 2025. The company's annual report also says it has expressed substantial doubt about its ability to continue as a going concern. The 8-K does not say how much cash the company expects to hold after any draw on the facility.

What the filing leaves out

The 8-K does not say how much of the $50 million facility has been drawn, nor the interest rate or maturity. It gives no value for the fee shares. It also does not name a placement agent, financial advisor or other intermediary for the share issue. The filing does not describe how the company plans to fund operations beyond the facility, and it does not say whether any money has been drawn since April.

Who signed

Chief Financial Officer Dan Dearborn signed the 8-K on August 19, 2026.
