Traws Pharma, Inc. (NASDAQ: TRAW) filed a prospectus supplement on July 10, 2026, for its at-the-market (ATM) equity program with Citizens JMP Securities, LLC (Citizens). Under the supplement, Traws may offer and sell common stock with an aggregate offering price of up to $5,575,709. The company's Form 8-K reports the filing under Item 8.01 and attaches a legal opinion on the shares.
The terms
Traws and Citizens entered into an At The Market Offering Agreement on March 10, 2025. Under that agreement, the company may offer and sell common stock with an aggregate sales price of up to $50,000,000, subject to limits in the agreement, from time to time to or through Citizens, which acts as sales agent and/or principal. The 8-K names Citizens as the only sales agent.
The shares are sold under a shelf registration statement on Form S-3, Registration Statement No. 333-297195. The company filed that statement on July 1, 2026, and the SEC declared it effective on July 9, 2026. The prospectus supplement, dated July 10, 2026, was filed under Rule 424(b) of the Securities Act of 1933. The supplement caps sales at $5,575,709, which the 8-K describes as the company's current baby shelf limitation under General Instruction I.B.6. of Form S-3. The 8-K does not say how much of that amount has been sold.
Legal counsel
Snell & Wilmer L.L.P. issued the legal opinion on the shares, which is filed as Exhibit 5.1 to the 8-K. The firm's consent appears as Exhibit 23.1. Charles Parker, Chief Financial Officer, signed the report for the company.
The company
Traws describes itself as a clinical-stage biopharmaceutical company developing novel antiviral agents against respiratory viral diseases. Tivoxavir marboxil is the first of its four clinical programs. It is an investigational oral, small molecule cap-dependent endonuclease inhibitor intended for bird flu and seasonal influenza. The other programs are ratutrelvir, a main protease (3CL protease) inhibitor for the SARS-CoV-2 virus, narazaciclib (ON 123300), a multi-targeted kinase inhibitor, and rigosertib, which is being studied in various cancers.
A first-in-man study ran from May to September 2023 in Russia. It enrolled 28 healthy males, ages 18-45 years, and tested doses of 20, 40, 80 or 120 mg against placebo. Topline data from the later Phase 1 study in Australia showed that a single dose maintained detectable plasma drug levels for 23 days.
Traws was formerly Onconova Therapeutics, Inc. It completed a merger with Trawsfynydd Therapeutics, Inc. on April 1, 2024. Before that merger, the company focused on discovering and developing products for cancer patients. The annual report says the company reported in 2025 that oral TXM was effective against a highly virulent A/H5N1 bird flu in animal models. That is the company's view of animal data, and Topline Phase 1 data are limited to safety and drug levels in healthy volunteers.
Financial position
The XBRL data in the company's annual filings show 2025 revenue of $2.8 million and net income of $9.2 million, with cash used in operations of $18.2 million. In 2024, Traws reported revenue of $226,000, a net loss of $166.5 million and cash used in operations of $29.8 million. The financial data are reported in the company's SEC filings.
What the filing means for shareholders
The 8-K gives the company the ability to sell shares from time to time within the stated limit. It does not set a timetable for sales, and it does not describe the use of proceeds. Every share sold through the program adds to the share count and dilutes current holders, and sales happen at whatever the market price is on the day. The $5,575,709 cap is a small slice of the $50,000,000 in the 2025 agreement, and the 8-K attributes the cap to the baby shelf rule, which applies to a small public float. The company used $18.2 million of cash in operations in 2025, so a raise of this size would cover only part of a year of spending, and the 8-K says nothing about other funding. The 2025 net income of $9.2 million does not change that picture.
