What the notice says
TNF Pharmaceuticals, Inc. has told the Securities and Exchange Commission that it cannot file its quarterly report on Form 10-Q for the six months ended June 30, 2025 on time. The notice, filed on Form 12b-25 and dated August 14, 2025, says the company "requires additional time to complete and finalize its financial statements" for that report.
The company says it expects to file the report "on or before the fifth calendar day following the prescribed due date." The notice gives the reason in one sentence. It does not name the statements in question, identify an accounting issue, or say whether the auditor is involved in the delay.
The company also says it has filed all other periodic reports required during the past 12 months. It answered no to the question of whether a significant change in results of operations will show up in the late report. Because of that answer, the notice gives no figures for the period. The notice gives no cash balance or net loss for the six months.
The notice lists the principal executive office at 1185 Avenue of the Americas, Suite 249, in New York, and is signed by Joshua Silverman as a director.
The business behind the filing
The company's annual report describes TNF as a clinical stage pharmaceutical company "committed to extending healthy lifespan." It has two platforms. The first, Isomyosamine, is a clinical stage small molecule that the company says regulates the immunometabolic system. Its first indication is age-related frailty and sarcopenia. The company says the molecule works by regulating the release of pro-inflammatory cytokines such as TNF-α, interleukin 6 and interleukin 17.
The second platform, Supera-CBD, is a synthetic analog of CBD that the company says is being developed for epilepsy, pain and anxiety or depression.
The trial record in the annual report is thin on results. A Phase 1 study in healthy volunteers started on June 25, 2019 and was completed on January 30, 2020. The Phase 2 sarcopenia study began dosing in the first quarter of 2022. The last patient visit took place on June 6, 2023. The annual report's description of that study gives no efficacy results. It also describes a 13-week electroencephalogram safety study of MYMD-1 in beagle dogs, run with Charles River Laboratories, whose analysis was completed in December 2024. The company says the results "have been favorably received by the FDA." That is a safety study in animals, not evidence that the drug works in people.
Corporate history and the Oravax stake
TNF was organized under Florida law in November 2014 to develop technology relating to Isomyosamine, which the company says was developed or held by its founder, Jonnie R. Williams, Sr. The patent rights passed to the company in November 2016 under an arrangement that gave SRQ Patent Holdings a royalty on product sales.
The company was previously known as Akers Biosciences, Inc. On April 16, 2021 it merged with MyMD Pharmaceuticals (Florida), Inc. The merger included milestone payments in shares to the former MyMD Florida stockholders, and the company says those payments ended when the 36-month milestone period expired on April 16, 2024. In a separate 2020 deal, MyMD Florida agreed to acquire substantially all of Supera's assets for an aggregate of 13,096,640 shares of MyMD Florida common stock. The company changed its name from MyMD Pharmaceuticals, Inc. to TNF Pharmaceuticals, Inc. on July 22, 2024.
The company also holds an interest in Oravax Medical, Inc., which is pursuing a COVID-19 vaccine candidate. TNF's interest is 13% of Oravax's outstanding shares and a 2.5% royalty on all future net sales. The annual report says the company has evaluated a possible distribution of its Oravax shares to stockholders, which would make Oravax a publicly held company.
What comes next
The company's stated next step is the Form 10-Q, which it expects to file within five calendar days after the prescribed due date. The notice leaves cash, results and the status of the Phase 2 sarcopenia program unanswered.
