The filing
Taysha Gene Therapies, Inc. (Nasdaq: TSHA) filed an automatic shelf registration statement on Form S-3ASR on November 4, 2025, the same day it reported third-quarter results. A base prospectus covers an unspecified amount of common stock, preferred stock, debt securities and warrants. A separate sales agreement prospectus covers common stock with a maximum aggregate offering price of $200,000,000.
The sales agreement
The agreement is dated October 5, 2021, and was amended on March 30, 2022. On November 4, 2025 the company signed two more amendments. Amendment No. 2 is with Leerink Partners LLC. Amendment No. 3 is with Goldman Sachs & Co. LLC and Wells Fargo Securities, LLC, as sales agents. The sales agents are paid 3.0% of the gross proceeds of any shares sold, and the company agreed to reimburse up to $75,000 of their outside legal expenses. Cooley LLP of New York is the company's counsel, and Deloitte & Touche LLP is its auditor.
Sales so far
The filing says the company had sold $12,000,000 of common stock under the prior agreement as of November 3, 2025. The last reported sale price on the Nasdaq Global Select Market that day was $4.46 a share.
The quarter behind the filing
In its third-quarter release, Taysha reported a net loss of $32.7 million for the three months ended September 30, 2025, or $0.09 a share. A year earlier the company lost $25.5 million, or $0.10 a share. Research and development expense rose to $25.7 million from $14.9 million. General and administrative expense was $8.3 million, against $7.9 million a year earlier, and the increase reflected debt issuance costs from refinancing its loan with Trinity Capital.
Cash and cash equivalents were $297.3 million at September 30, 2025. The company says those resources will support planned operating expenses and capital requirements into 2028.
The release's balance sheet shows an accumulated deficit of $683,449 thousand and a net loss of $81,144 thousand for the first nine months of 2025. The prospectus excludes 79,466,785 shares issuable on exercise of pre-funded warrants from its share count of 273,915,373.
The lead program
Taysha's lead program, TSHA-102, is aimed at Rett syndrome, a rare neurodevelopmental disorder. The company estimates 15,000 to 20,000 patients with the disease across the United States, Europe and the United Kingdom.
In the Part A trials of the REVEAL Phase 1/2 program, the company treated 12 patients. It reports no treatment-related serious adverse events or dose-limiting toxicities as of an October 2025 data cutoff. The FDA granted Breakthrough Therapy designation to TSHA-102 in September 2025, based on its review of the 12 Part A patients. The company has finalized FDA alignment on a pivotal REVEAL protocol that includes a six-month interim analysis, and it says that analysis could speed a biologics license application by at least two quarters. The primary endpoint is response rate, with each patient serving as their own control against natural-history developmental milestones. A response rate of 33% (5 of 15 patients) is the minimum threshold to reject a natural-history null hypothesis of 6.7%. In October 2025 the company regained full rights to TSHA-102 when its 2022 option agreement with Astellas expired. Dosing of the first patient in that pivotal trial was scheduled for the fourth quarter of 2025.
The 12-patient base is small, and each patient serves as their own control rather than being compared with a separate control group. The company's own release describes the Part A data as showing an unprecedented response rate, but the pivotal trial is still ahead.
Dilution and use of proceeds
The prospectus puts net tangible book value at $219.0 million, or $0.80 a share, at September 30, 2025. Selling $200.0 million at an assumed $4.46 a share would lift it to $412.6 million, or $1.29 a share, and leave new investors with immediate dilution of $3.17 a share. The S-3ASR does not say how many shares the company expects to sell under the agreement, or when. It intends to use net proceeds primarily for general corporate purposes, including clinical trials and research.
