The milestone and the closing
Surrozen, Inc. (Nasdaq: SRZN) said in a Form 8-K dated October 2, 2026 that the U.S. Food and Drug Administration cleared its Investigational New Drug application for SZN-8141. The IND took effect after the statutory 30-day review period. The company says the clearance satisfies the second closing milestone under its March 2025 two-tranche private placement.
The second closing is expected to provide approximately $95.1 million in gross proceeds, before placement agent fees and other expenses. The closing is expected on or about October 20, 2026, subject to closing conditions. The company says the proceeds will support development of SZN-8141 and SZN-8143 and its broader operating activities.
The 8-K does not name the placement agent or the purchasers in the second closing. It also does not give the number of shares, the price per share or the terms of the Series E common stock warrants being issued with it. Those warrants, and the pre-funded warrants, will need a resale registration.
After the closing, Surrozen expects to file a new Form S-3 to register the resale of the common stock, the shares issuable on exercise of the pre-funded warrants and the shares issuable on exercise of the Series E warrants. Under the registration rights agreement, it must file no later than 30 calendar days after the closing.
The drug and its trial
Surrozen is a biotechnology company that develops product candidates to modulate the Wnt pathway, with its current strategic focus in ophthalmology. SZN-8141 combines Frizzled 4 (Fzd4) agonism with vascular endothelial growth factor (VEGF) antagonism. The company's 10-K filed March 23, 2026 says the candidate is being developed for diabetic macular edema (DME) and neovascular age-related macular degeneration.
The 8-K describes SZN-8141 as a bifunctional Wnt agonist and VEGF antagonist antibody given by intravitreal injection. The company expects to dose the first patient in DUET, a Phase 1b/2a study in DME, in the fourth quarter of 2026, with initial data expected in the second half of 2027. The 10-K expected the IND to be submitted in the second half of 2026, so SZN-8141 has not yet been tested in patients.
The competitive picture is crowded. The 10-K says the current standard of care for diabetic retinopathy, including DME, retinal vein occlusion and wet AMD is intravitreal anti-VEGF therapy, including dual-pathway agents that target VEGF and angiopoietin-2. It also says MK-3000, a Fzd4 monotherapy, has shown proof of concept in DME in clinical trials. The company's own description of SZN-8141 is that it has the potential to be differentiated from existing therapies.
The company also has SZN-8143, which adds interleukin-6 antagonism and is being developed for DME, wet AMD and uveitic macular edema. It has preclinical research programs in corneal endothelial disease and other retinal indications. In October 2022, Surrozen signed a Collaboration and License Agreement with Boehringer Ingelheim International GmbH to develop and commercialize Fzd4 programs, including SZN-413, which it nominated in the first quarter of 2022.
The money
The XBRL data show revenue of $3.5 million for 2025, down from $10.7 million for 2024. Research and development expense rose to $29.4 million from $21.1 million. The net loss was $242.0 million for 2025, against $63.6 million for 2024. Cash used in operations was $30.2 million for 2025, against $17.6 million a year earlier.
The gap between the 2025 net loss and cash used in operations is large. The XBRL figures do not break it down, and the 8-K does not explain it.
Cash and cash equivalents were $34.6 million at the end of 2024 and $89.2 million at the end of 2025. They were $102.0 million at June 30, 2026, according to the 10-Q. The second closing would add $95.1 million in gross proceeds before fees to that balance. The company's disclosure that proceeds will support development and broader operations does not give a budget.
What comes next
The next dated items are the October 20, 2026 closing, the Form S-3 filing due within 30 calendar days after it, the first patient dosed in DUET in the fourth quarter of 2026, and initial DUET data in the second half of 2027.
