The termination
Supernus Pharmaceuticals, Inc. (Nasdaq: SUPN) said in a Form 8-K filed October 26, 2026 that it terminated its credit line with UBS Bank USA on October 20, 2026. The line was set up under an agreement dated February 8, 2023. The filing describes it as an uncommitted, demand revolving line of credit secured by a pledge of a securities collateral account held with the bank and related assets.
The company said that when the line was ended there were no advances, no letters of credit and no other borrowings or obligations outstanding under it. It also said it paid no early termination penalty. The bank released its security interests in the collateral.
The Indivior link
Supernus said it ended the line in anticipation of, and in connection with, completing its previously announced business combination with Indivior Pharmaceuticals, Inc. The two companies signed an Agreement and Plan of Merger dated August 1, 2026. The termination is also tied to a new senior secured credit facility that the combined company is to enter into at closing.
The filing gives no expected closing date for the merger. It also gives no size, pricing, maturity or lender for the new facility. The filing does not mention any other credit line for Supernus before the merger closes.
The business behind the deal
Supernus is based in Rockville, Maryland, and focuses on central nervous system diseases. Its annual report on Form 10-K, filed in March 2026, lists approved treatments for attention-deficit hyperactivity disorder, dyskinesia in Parkinson's disease patients, postpartum depression, epilepsy, migraine, cervical dystonia and chronic sialorrhea. Its marketed products include Qelbree, a non-stimulant for ADHD, and GOCOVRI for Parkinson's dyskinesia.
Supernus bought Sage Therapeutics in a deal completed on July 31, 2025. The filing describes a cash component of about $561 million and contingent value rights worth up to $3.50 a share. Those rights pay out only if ZURZUVAE sales reach set thresholds in calendar years 2027, 2028 and 2030. A further $0.50 a share is payable on a first commercial sale in Japan, if Japanese approval for the depression indication came by June 30, 2026.
The company's financial position has weakened over the past year. The 10-K reports a net loss of $38.5 million for 2025, after net income of $73.9 million in 2024. Research and development expense was $106.2 million in 2025, close to the $108.8 million spent in 2024. Cash provided by operations fell to $47.3 million in 2025 from $172.0 million in 2024.
What the filing leaves out
The 8-K is a notice of termination, not a financing. Its only exhibit is the cover page in inline XBRL format. It was signed by Timothy C. Dec, senior vice president and chief financial officer. It does not name the bank that will lead the new facility, and it does not say whether the UBS termination will reduce the combined company's liquidity or how the new facility will be sized against it.
The line was ended before the merger closed and before the new facility exists. The filing does not say how Supernus will fund operations until then, or whether it will need other financing in the meantime.
What comes next
The next dated item is the closing of the Indivior merger, which the filing does not schedule. At that point the combined company is to enter the new senior secured credit facility.
