Sunshine Biopharma Inc. has told the Securities and Exchange Commission that it will not file its annual report for the period ended December 31, 2024 on time.

The Fort Lauderdale, Florida company filed a Form 12b-25 notice of late filing on March 31, 2025, according to the notice. A Form 12b-25 lets a company claim a short extension when it cannot file a periodic report by the deadline without unreasonable effort or expense. Under the form, an annual report on Form 10-K is then due on or before the fifteenth calendar day after the original due date.

The explanation in the notice is one sentence long. It states: "The Company will need additional time to complete its financial statements."

Sunshine said all other periodic reports it was required to file during the preceding 12 months have been filed. It also answered no when asked whether it expects a significant change in results of operations from the corresponding period of the last fiscal year.
