Soligenix, Inc. filed a registration statement on Form S-1 with the Securities and Exchange Commission on September 19, 2025 to register shares and warrants for a public offering. A week later, in a release dated September 26, 2025, the company announced the pricing of a $7.5 million public offering at $1.35 per share with a warrant. The company trades on the Nasdaq Capital Market as SNGX.
What the offering sells
The prospectus offers 4,064,080 shares of common stock together with common warrants to buy up to 5,555,560 shares. Pre-funded warrants for up to 1,491,480 shares are offered in place of shares for buyers who would otherwise own more than 4.99% of the stock, or 9.99% if they elect that limit. Each share or pre-funded warrant is sold with one common warrant. The public offering price is $1.35 per share. Each pre-funded warrant is sold at $1.349 and has an exercise price of $0.001 per share.
The common warrants have an exercise price of $1.35 and a five-year term.
Gross proceeds and use of money
Gross proceeds are expected to be about $7.5 million, before placement agent fees and other estimated offering expenses. The company says it intends to use the net proceeds for research and development and commercialization activities, working capital and general corporate purposes.
Repricing older warrants
The company agreed that its existing May 2023, April 2024 and July 2024 warrants, covering an aggregate of 1,162,064 shares, will be amended to an exercise price of $1.35. Those warrants will also expire at the same time as the warrants sold in the offering.
The placement agent and the lawyers
A.G.P./Alliance Global Partners is the sole placement agent. The prospectus says the agent has no obligation to buy any of the securities and has agreed to use its best efforts to sell them, with no minimum number of securities or dollar amount. The company agreed to pay a cash placement commission of 6.5% of aggregate proceeds, 3.0% for certain identified investors and nothing on money from its directors and officers. The table shows total gross proceeds of $7,498,515, placement agent fees of $487,403 and proceeds before expenses of $7,011,111. The prospectus estimates net proceeds of approximately $6.8 million.
Duane Morris LLP of Boca Raton, Florida, passes on the validity of the securities for the company, and Sullivan & Worcester LLP of New York represents the placement agent.
What the offering means for shareholders
The offering raises about $7.5 million gross from a best-efforts sale. The prospectus lists 4,305,570 shares outstanding before the offering and 9,861,130 after it, assuming no exercise of the common warrants. The common warrants at $1.35 for five years, together with the older warrants repriced to the same level, mean that holders could acquire up to 5,555,560 new shares later at a fixed price, and the repriced older warrants cover a further 1,162,064 shares. Shareholders bear that dilution as the warrants are exercised, on top of the shares sold now.
The business behind the raise
Soligenix describes itself as a late-stage biopharmaceutical company focused on rare diseases. Its lead program is HyBryte, a proposed name for synthetic hypericin sodium, a topical photodynamic therapy for cutaneous T-cell lymphoma. The annual report, filed March 21, 2025, says enrollment in the second Phase 3 study, FLASH2, began in December 2024, and that the company anticipates top-line results in the second half of 2026.
What the filings leave open
The prospectus says that at June 30, 2025 the company had an accumulated deficit of approximately $246.6 million, cash and cash equivalents of approximately $5.1 million and current liabilities of approximately $3.6 million. It carries an auditor's going-concern opinion, and the company says it did not have enough cash to fund operations for 12 months. It also says it expects to have more than the required $2.5 million in shareholders' equity at closing only if net proceeds reach at least $3.4 million, and there is no assurance it will regain Nasdaq compliance. Neither the prospectus nor the release says how many of the warrants will be exercised.
