Solid Biosciences Inc. entered into a securities purchase agreement on March 6, 2026 with institutional accredited investors for a private placement. The company agreed to issue 14,973,257 shares of common stock at $5.61 per share. Investors who prefer not to take shares can buy pre-funded warrants for 27,807,482 shares at $5.609 per warrant. The company's Form 8-K filed that day says it expects gross proceeds of about $240.0 million and net proceeds of about $226.8 million after placement agent fees. Closing is expected on or about March 9, 2026, subject to customary conditions. The shares trade on the Nasdaq Global Select Market under the symbol SLDB.
The banks
Leerink Partners LLC and Citigroup Global Markets Inc. acted as joint lead placement agents. Cantor Fitzgerald & Co. acted as co-lead placement agent. H.C. Wainwright & Co., LLC and Truist Securities Inc. acted as co-placement agents. The gap between the gross and net figures reflects placement agent fees and offering expenses, which the 8-K deducts before stating the net amount. The 8-K does not name counsel to the company or to the agents.
Who is buying
The 8-K names several investors, including Perceptive Advisors, Bain Capital Life Sciences, RA Capital Management, Invus, Vestal Point Capital, Janus Henderson Investors and Deep Track Capital, and says the list includes others. Each investor agreed not to trade the company's securities until after March 11, 2026. The pre-funded warrants have an exercise price of $0.001 per share and are exercisable immediately until exercised in full. A holder may not exercise a warrant if doing so would leave it owning more than 4.99% or 9.99% of the common stock outstanding, as the holder elects. The holder can raise or lower that percentage on 61 days' notice, but it may never exceed 19.99%. The placement covers 14,973,257 common shares but pre-funded warrants for 27,807,482 shares, so most of the securities sold are warrants, which add to the potential share count once exercised.
Resale registration
Under a registration rights agreement, the company agreed to file a registration statement covering the resale of the shares and warrant shares no later than 30 days after closing. It also agreed to use reasonable best efforts to have that statement declared effective as soon as reasonably practicable. If the statement is not declared effective by the earlier of five business days after the SEC says it will not review the statement or the 75th day after the filing date, the company owes liquidated damages of one percent (1.0%) of the amount invested per 30-day period, subject to caps in the agreement. The company must keep the registration in effect until the shares can be sold without restriction under Rule 144, and it bears the registration fees and expenses.
The cash figure and runway
The 8-K says the company expects to report cash, cash equivalents and available-for-sale securities of about $187.9 million at December 31, 2025. That is a preliminary and unaudited estimate, and the 8-K says the actual results may differ materially from it. The company estimates that the net proceeds, together with its existing cash and securities, will fund its operating expenses and capital expenditure requirements into the first half of 2028. It says that estimate rests on assumptions that may prove to be wrong.
The proceeds are to fund ongoing pipeline development programs and business development, with the remainder going to general and administrative expenses and other corporate purposes.
The business
The company's annual report filed in March 2025 names neuromuscular candidates, including SGT-003 and SGT-212, and cardiac candidates, including SGT-401, SGT-501 and SGT-601. Its forward-looking statements list the timing and results of preclinical studies and clinical trials, regulatory approval and its scope, regulatory interactions, manufacturing capacity, and pricing and reimbursement as uncertainties for those candidates. Nothing in the 8-K gives clinical data for any of them, so the 8-K does not show what the money will buy in scientific terms.
