Skye Bioscience, Inc. entered into a securities purchase agreement on August 21, 2026 with Redmile Biopharma Investments III, L.P., an affiliate of Redmile Group, LLC. The company reported it in a Form 8-K covering August 21, 2026, signed by Chief Executive Officer Punit Dhillon on August 24, 2026. It follows a binding term sheet signed August 14, 2026, the day Skye agreed to the Redx Pharma Limited transaction and a securities purchase agreement with PIPE investors. The line is an equity line of credit, or ELOC, under which the company must sell shares to the buyer over time.

The line and its limits

The agreement covers up to $22,000,000 of common stock and non-voting common stock. That amount is reduced by the amount by which the funded PIPE amount, including any concurrent equity financing and the Series A investment defined in the transaction agreement, exceeds $103,000,000. If the funded PIPE amount equals or exceeds $125,000,000, the company is not required to sell and the buyer is not required to buy any shares under the agreement.

The sales run from a commencement date, subject to conditions, through the third anniversary of the PIPE closing date. Starting with the first full calendar month after commencement, the company must direct the buyer to purchase the maximum amount that remains available each month, subject to a $2,000,000 monthly limit.

The purchase price is the lesser of the PIPE price and the market price at the time of each purchase notice. It cannot be lower than a 10% discount to the PIPE price. The agreement also caps the shares issuable under it, including shares on conversion of the non-voting stock, at 19.99% of the company's outstanding common stock as of the agreement date, unless stockholders approve a higher amount as Nasdaq rules require.

The warrant

At closing, Skye agreed to issue the buyer a warrant for shares equal to $5,000,000 divided by the PIPE price. The warrant can be exercised from January 1, 2027 through January 1, 2030. Its exercise price is the lesser of the PIPE price and the market price on the exercise date, but not less than 90% of the PIPE price. Exercises of common stock are subject to a 9.99% beneficial ownership limit, above which the warrant becomes exercisable for non-voting common stock.

The 8-K says the warrant and the warrant shares are issued without registration under Section 4(a)(2) of the Securities Act of 1933. The 8-K says the term sheet terminated automatically when the purchase agreement was signed, other than certain surviving provisions.

Skye also signed a registration rights agreement with the buyer on August 21, 2026. It requires the company to file a registration statement for the resale of the ELOC shares within 10 business days of the PIPE closing date. The purchase agreement ends automatically on the earliest of full purchase of the ELOC amount, a later equity or equity-linked financing with gross proceeds at least equal to the amount still available, certain change of control transactions, a valid termination of the Redx transaction agreement, or the end of the three-year term.

The company's cash

XBRL data show a 2025 net loss of $55.9 million, up from $26.6 million in 2024. Cash used in operations was $43.1 million in 2025, against $25.2 million in 2024. A 10-Q filed August 14, 2026 reports $5.9 million in cash and cash equivalents and $19.9 million in short-term investments at the end of 2025. At June 30, 2026, cash and cash equivalents were $8.1 million and short-term investments were $2.0 million.

The company's annual report, filed March 10, 2026, describes its lead candidate, nimacimab, as a peripherally restricted antibody targeting the CB1 receptor, evaluated in combination with incretin-based therapies.

What the 8-K leaves open

The 8-K does not name a placement agent, an underwriter or a financial advisor for the equity line, which is sold directly to the buyer, and it does not say how many shares Skye expects to issue under it. The forward-looking statements also list "the effects of the Reverse Stock Split" among the risks, alongside whether the company keeps its Nasdaq listing.
