Scilex Holding Company said it is unable to file its quarterly report on Form 10-Q for the fiscal quarter ended September 30, 2024 by the November 14, 2024 due date.
The Palo Alto, California company disclosed the delay in a Form 12b-25 notice of late filing. Companies use this form to tell the SEC that a periodic report will be late and why.
Scilex said it needs more time to finalize the financial statements that go into the 10-Q. It said it could not meet the deadline without unreasonable effort or expense. The company said it is working diligently to complete the report as soon as possible.
The notice also refers to an ongoing review. Its forward-looking statements list as risks the possibility that the company will not be able to file the 10-Q within the extension permitted by Rule 12b-25, and the possibility that the ongoing review "may identify errors or control deficiencies" in the company's accounting practices.
The company said it has filed all other periodic reports required during the preceding 12 months. It does not expect results of operations to show a significant change from the same period of the prior year.
Scilex was formerly named Vickers Vantage Corp. I.
