Sangamo Therapeutics, Inc. filed an amended monthly operating report in its Chapter 11 case in the U.S. Bankruptcy Court for the District of Delaware on October 23, 2026. The report covers the month that ended July 31, 2026, and it is attached as Exhibit 99.1 to a Form 8-K filed on October 27, 2026. The case number is 26-10989 and the petition date is June 23, 2026. The report lists 73 full-time employees, against 74 as of the date of the order for relief. Its notes say the amendment, which replaces the July report filed at Docket No. 427, adds information on payments made to ordinary course professionals.
Cash and receipts
The company started July with $14,382,244 in cash and ended the month with $16,906,955. Total receipts for July were $18,058,990 and total disbursements were $15,534,279. A statement attached to the report shows that $18,000 thousand of the receipts was a draw on the replacement debtor-in-possession loan and that other receipts were $59 thousand. Restructuring disbursements were $11,433 thousand, including $10,500 thousand of repayments on the earlier loan. Borrowed money, not business income, lifted the July cash balance.
XBRL data show year-end 2025 cash and cash equivalents of $20.9 million, down from $41.9 million a year earlier. Cash used in operations was $97.2 million in 2025, against $67.1 million in 2024.
Losses and the balance sheet
The July loss is $11,165,298, and the cumulative loss shown in the report is $14,920,356. The largest single expense line is reorganization items at $4,244,225, ahead of general and administrative expenses of $3,764,872 and other expenses of $3,231,570.
The balance sheet in the form lists total assets of $155,117,944, of which $20,386,655 is current. Postpetition payables are $18,768,593, of which $366,473 is past due. Prepetition unsecured debt is listed at $78,061,802. Total liabilities are $97,132,393, and the form shows a net worth of $57,985,551. The company's own attached balance sheet shows a different picture: total liabilities of $147,383 thousand and total stockholders' equity of $7,735 thousand, with intercompany payables among the liabilities. The notes say the figures reflect net book value, which may differ from market value, and that they "could be subject to change, including material change."
The financing behind the case
Before the reporting period, the company drew $10,500,000 under an initial senior secured superpriority debtor-in-possession term loan. A replacement interim order entered on July 23, 2026 authorized a new facility. During the period the company incurred $18 million in obligations under that order, and $11,432,958 of it was paid to satisfy the initial facility, including its fees.
The report lists Future Solution Investments LLC as the payee and lender for an $18,000,000 advance dated July 24, 2026. The text names no placement agent or financial advisor for that loan. It names two special counsel firms for non-bankruptcy matters, Rothwell, Figg, Ernst & Manbeck, P.C. and Daijogo & Pedersen, LLP, which were paid before the court approved their retention as ordinary course professionals. The form lists $295 and $52 for them.
The court docket notice attached to the filing lists Olya Antle, with a Cooley email address, and Kristin Cunningham and Daniel J. DeFranceschi, with rlf.com addresses, as counsel for the debtor. It also shows an Official Committee of Unsecured Creditors of Sangamo Therapeutics, Inc., represented by Darren Azman.
The business before the filing
The company's annual report, filed March 30, 2026, refers to a potential Biologics License Application for isaralgagene civaparvovec, the possibility of Accelerated Approval based on the Phase 1/2 STAAR study, and the need for one or more commercialization partners for its Fabry disease program. It names license agreements with Genentech, Alexion, Astellas Gene Therapies and Eli Lilly.
The same section warned that the company may cease operations entirely, liquidate all or part of its assets, or seek protection under the U.S. Bankruptcy Code "in the very near term." That warning came before the June 23, 2026 petition date.
The report does not say when the company expects to propose a plan of reorganization or sell its assets.
