Retension Pharmaceuticals, Inc. filed a Form S-1 registration statement with the Securities and Exchange Commission on September 18, 2026, to sell common stock in an initial public offering. The company is based at 1104 West Broad Street in Falls Church, Virginia. Its preliminary prospectus leaves blank both the number of shares and the price range, so neither the size of the deal nor the amount it would raise can be measured from the filing.

Retension has applied to list its common stock on the Nasdaq Capital Market under the symbol RTSN. It says it believes it will meet Nasdaq's standards when the offering closes, and that closing depends on that listing. No public market exists for the shares today.

Underwriters and their options

The cover page names Leerink Partners, Guggenheim Securities, Oppenheimer & Co. and Titan Partners as underwriters. They hold a 30-day option to buy additional shares, and the company has agreed to reimburse certain underwriter expenses. Under a "Copies to" heading, it lists DLA Piper LLP (US) and Covington & Burling LLP, without saying which firm acts for whom.

The drug and its trial record

Retension is developing RTN-001, a once-daily oral small molecule phosphodiesterase-5 inhibitor for hypertension. The company says the drug lowers blood pressure by boosting nitric oxide signaling. Its ongoing Phase 2b trial enrolls adults with uHTN who take two to five other antihypertensive medicines. The trial is randomized, double-blind and placebo-controlled, uses a modified-release formulation, and has a primary endpoint of the change in peripheral office-seated systolic blood pressure at week 4 against placebo. Initial data are expected in the first half of 2027.

The evidence behind the drug is small. In the largest Phase 2 pilot, Trial 07-08, 40 hypertensive patients took 5 or 10 mg of an immediate release formulation in a crossover design. The prospectus says that trial was not powered for statistical significance, and one timepoint for the 10 mg group had p = 0.0532. The company says the pilot trials may not predict results of the Phase 2b study or the planned Phase 3 trial, given larger populations and different designs.

Cash and going concern

The auditor's report on fiscal 2025 includes an explanatory paragraph on going concern, and the prospectus says recurring losses raise substantial doubt about the company's ability to continue. Management concluded that the company does not have sufficient capital to fund its operating plan for about twelve months from the date of its interim financial statements.

Cash and cash equivalents were $13.5 million at June 30, 2026, down from $18.9 million at December 31, 2025. The company reported net losses of $7.5 million for the six months ended June 30, 2026, against $1.9 million a year earlier. Its accumulated deficit was $15.8 million at June 30, 2026, up from $8.3 million at year-end 2025. The offering proceeds, which the filing does not quantify, would go with existing cash to complete the Phase 2b trial and prepare for the Phase 3 trial, with the remainder for general corporate purposes.

Restatement and material weakness

The company restated its 2025 financial statements to correct an accounting error. The restated net loss was $6.3 million for 2025, against $1.9 million for 2024. The prospectus says management identified a material weakness in internal control over financial reporting and warns that further errors could hurt investor confidence and the stock price.

Founders, licensors and related ties

Retension was founded in 2023. Its chief executive, Eric Keller, and chief scientific officer, Paul Sweetnam, are each managers of Redux Therapeutics, LLC. Redux holds an exclusive sublicense for RTN-001 from Kadmon, now a Sanofi subsidiary, and Retension licenses the drug from Redux on a royalty-bearing basis. The company also keeps the clinical data from nine completed trials run by an earlier company, Surface Logix.

What is still open

The filing leaves the offering size and price blank. Management does not expect current cash to fund operations for at least twelve months, and the first Phase 2b data are not due until 2027.
