RenovoRx, Inc. said on March 31, 2025, that it cannot file its Form 10-K for the year ended December 31, 2024, within the prescribed time.

The Mountain View, California company filed a Form 12b-25, a notification of late filing. The form gives a company a short automatic extension when it cannot meet a deadline. For an annual report, the extension is fifteen days.

RenovoRx said it could not file without unreasonable effort or expense "because of the need to complete certain technical accounting requirements with the Registrant's current and former auditing firms." It expects to file the 10-K within the fifteen-day grace period provided by Rule 12b-25.

The company said it has filed all other periodic reports required during the preceding 12 months.

It also previewed its results without giving figures. RenovoRx expects to recognize small initial revenue from its RenovoCath commercial efforts for 2024, compared with 2023. It also expects a small decrease in net loss, due in part to lower selling, general and administrative expenses. The company said these amounts are still under review by its independent registered public accounting firm and accounting staff and may differ once reported.
