- Inhibikase Therapeutics, Inc. Form 8-K filed July 29, 2026 (SEC EDGAR)

Inhibikase Therapeutics, Inc. (Nasdaq: IKT) said it entered into an exchange agreement on July 29, 2026 with RA Capital Healthcare Fund, L.P., or RA Capital. Under the agreement, RA Capital gave up 18,030,000 shares of Inhibikase common stock and received a pre-funded warrant to acquire 18,030,000 shares of common stock. The company reported the transaction under Item 3.02, unregistered sales of equity securities, in a Form 8-K filed the same day. Mark Iwicki, Chief Executive Officer, signed the filing.
The warrant's terms
The pre-funded warrant has an exercise price of $0.001 per underlying share. It is immediately exercisable and has no expiration date. The number of shares it covers can be adjusted for certain stock dividends, splits, combinations and similar events.
The warrant includes a beneficial ownership blocker. The holder may not exercise, and the company may not allow an exercise, if the exercise would take the holder and its affiliates above 9.99% of the outstanding common stock. Affiliates include persons whose holdings are aggregated under Section 13(d) of the Securities Exchange Act of 1934. The holder may raise or lower the 9.99% level on 61 days' prior notice, but not above 19.99%.
The 8-K does not say whether RA Capital intends to exercise the warrant, or when.
How the securities were issued
Inhibikase issued the warrant without registration, relying on the exemption in Section 3(a)(9) of the Securities Act of 1933. That exemption covers securities a company exchanges with its own existing security holders. The 8-K gives no further detail on the exchange. The form of pre-funded warrant is filed as Exhibit 4.1, and the 8-K says its description is qualified in full by that exhibit. The only other exhibit listed is the cover page interactive data file.
The 8-K gives no cash amount for the exchange. It does not say whether the 18,030,000 exchanged shares were cancelled, or how many shares Inhibikase had outstanding before or after the exchange. Those gaps matter because the warrant's shares can be issued on exercise.
Who is named
RA Capital Healthcare Fund, L.P. is the counterparty. The 8-K names no placement agent, underwriter or financial adviser for the exchange, and no legal counsel.
Inhibikase is a Delaware corporation with its principal executive offices in Wilmington, Delaware, and its common stock trades on The Nasdaq Stock Market under the symbol IKT.
The company's losses and cash
Figures in the annual report for 2025, filed March 26, 2026, which predates the exchange, show a net loss of $48.3 million for 2025, against $27.5 million for 2024. Research and development expense was $29.8 million for 2025, against $17.2 million a year earlier. Cash used in operations was $27.8 million for 2025, up from $19.1 million for 2024.
The same report puts year-end cash and cash equivalents at $178.8 million for 2025, against $97.5 million for 2024. Revenue was reported as $0 for 2024. The annual report describes an October 2024 private placement of approximately $110 million and a November 2025 underwritten public offering of approximately $115 million. It also describes a June 2025 at-the-market program with Jefferies LLC as sales agent, with no sales completed as of December 31, 2025.
What the money funds
The annual report says the lead product candidate is IKT-001, a prodrug of imatinib for pulmonary arterial hypertension (PAH), an orphan indication. After an FDA written response on November 12, 2025, the company moved to a two-part adaptive Phase 3 study, IMPROVE-PAH, in approximately 180 sites. Part A is a double blind, placebo-controlled study in approximately 140 patients with a primary endpoint of pulmonary vascular resistance at Week 24. Part B has a primary endpoint of 6-minute walk distance at Week 24 in approximately 346 patients. The company had activated only a small number of sites. The 8-K gives no rationale for the exchange.
