Q/C Technologies, Inc. (Nasdaq: QCLS) told the SEC on November 14, 2025 that it cannot file its quarterly report on time. In a Form NT 10-Q, the company said it needs additional time to complete and finalize the financial statements for its Form 10-Q for the nine months ended September 30, 2025. It expects to file on or before the fifth calendar day after the prescribed due date. The notice is filed under the Q/C Technologies, Inc. name. The company's most recent annual report, filed in April 2025 under the same SEC registrant number, carries the name TNF Pharmaceuticals, Inc.

What the notice says

An NT 10-Q, also called a Form 12b-25 notification, is the form a public company files when it cannot submit its quarterly report by the deadline. Q/C checked the box for Form 10-Q and gave September 30, 2025 as the period end. The company relied on Rule 12b-25(b). It checked the statement that the delay could not be eliminated without unreasonable effort or expense. Its narrative gives one reason: the company requires additional time to complete and finalize the financial statements.

The company answered yes when asked whether all other periodic reports required in the preceding 12 months had been filed. It answered no when asked whether it anticipates a significant change in results of operations from the same period last year. The notice lists an address at 1185 Avenue of the Americas in New York. Joshua Silverman, who signed as Executive Chairman, is the listed contact.

The notice does not say what the company's cash position is, what its loss for the nine months was, or what caused the delay in finishing the statements.

What the last annual report showed

The annual report on Form 10-K, filed April 11, 2025, carries the TNF Pharmaceuticals name. The company describes itself as a clinical-stage pharmaceutical company focused on extending healthy lifespan. It lists two platforms, Isomyosamine and Supera-CBD. Isomyosamine is a clinical-stage small molecule that regulates the immunometabolic system, with its first planned indication in age-related frailty and sarcopenia. Supera-CBD is a synthetic analog of CBD being developed for conditions including epilepsy, pain and anxiety or depression.

The report says a Phase 2 trial in patients with sarcopenia began dosing in the first quarter of 2022, with the last patient visit on June 6, 2023. It also says a 13-week electroencephalogram safety study run with Charles River Laboratories was reported in December 2024, and that the FDA received the results favorably. Those are the company's own descriptions. The 10-K's description of the sarcopenia trial gives no sample size or efficacy result.

The money

The 10-K gives the company's position at December 31, 2024. Cash on hand was $173,154 and marketable securities were $8,345,082. The company reported a net loss attributable to shareholders of $27,161,219 for 2024. Working capital was $2,710,626, stockholders' equity was $9,789,740 and the accumulated deficit was $129,138,286. Cash flows used in operating activities were $8,976,347 for 2024.

The report says the company does not currently have sufficient available liquidity to fund its operations for at least the next 12 months, and that this raises substantial doubt about its ability to sustain operations for at least one year. Its risk factors say it must raise additional capital to continue operating. The notice does not say whether the company has raised money or taken other steps since December 31, 2024.

The late report

The notice gives no explanation beyond the need to finish the statements, and the company says it expects to file within the five-day window the form allows. The April 2025 annual report was signed by Mitchell Glass, M.D., as President and Chief Medical Officer, and by Ian Rhodes as Interim Chief Financial Officer, with Silverman as Chairman of the Board.
