Pyxis Oncology, Inc. (Nasdaq: PYXS) agreed on June 30, 2026 to sell common stock and warrants to institutional and accredited investors in a private placement. The company expects gross proceeds of about $50.0 million before placement agent fees and offering expenses, according to a Form 8-K filed July 2, 2026. The deal was expected to close on July 2, 2026, subject to customary closing conditions. The securities are not registered under the Securities Act of 1933. The company relied on the Section 4(a)(2) exemption and, in part, on representations from the purchasers.
The terms and the warrants
Under the purchase agreement, Pyxis agreed to issue 19,600,153 shares of common stock at $2.551 per share. Each purchaser also receives common warrants to buy up to an equal number of shares at $3.289 per share. The company says it would receive about $64.0 million more if the warrants are exercised in full for cash. Its press release headline calls the financing "Up to $114 Million," a figure that depends on warrant exercise.
The warrants become exercisable on the earlier of two dates. One is the date Pyxis first publicly discloses clinical data from its Phase 1 monotherapy study of micvotabart pelidotin, known as MICVO, in second line and beyond recurrent or metastatic head and neck squamous cell carcinoma. The other is October 1, 2026. The warrants expire on July 2, 2029. If exercised, the warrants add shares beyond the 19,600,153 sold in the placement.
Who arranged and who bought
Wells Fargo Securities, LLC acted as the placement agent. Pyxis agreed to pay customary placement fees and reimburse certain expenses of the placement agent. The press release says the financing was led by BVF Partners L.P., with participation from GordonMD Global Investments, RTW Investments, and Coastlands Capital LP. The 8-K describes no underwriter for the offering.
Tom Civik, Interim Chief Executive Officer and Director, said the investors' participation "reflects confidence in MICVO and our strategy to advance the program."
Registration of the resale shares
On July 2, 2026, Pyxis also signed a registration rights agreement. It must file a resale registration statement by October 2, 2026, and use commercially reasonable efforts to have it declared effective as soon as practicable. The company pays the registration fees and expenses. The registration rights agreement includes liquidated damages if the company fails to meet its registration obligations, which the 8-K describes only by reference to the agreement itself. Both sides gave customary indemnification rights.
The cash runway
The press release says the upfront proceeds are expected to extend the cash runway into the second quarter of 2027. It also says the money supports further advancement of MICVO through key clinical milestones, including extended patient follow-up in the expansion trial after enrollment completes in the first quarter. The company now expects updated Phase 1 monotherapy data in the fall of 2026 and updated Phase 1/2 combination data with pembrolizumab in the fourth quarter of 2026.
The annual report for 2025, filed March 23, 2026, gives a different picture. Its auditor's report includes a going-concern paragraph, and the report says recurring losses from operations raise substantial doubt about the company's ability to continue as a going concern. The report says the company had approximately $66.9 million in cash, cash equivalents and marketable debt securities at December 31, 2025, which it believed would fund operations into the fourth quarter of 2026, the period the private placement is meant to extend. For 2025, Pyxis reported a net loss of $79.6 million and used $63.5 million in operations.
The business
Pyxis describes itself as a clinical-stage oncology company focused on solid tumors, with its immediate focus on head and neck squamous cell carcinoma. Its lead program is MICVO, an investigational antibody-drug conjugate that targets extradomain-B of fibronectin in the tumor microenvironment. The company has not yet reported the data it has promised for fall 2026 and the fourth quarter of 2026, so the clinical evidence behind the financing is still the earlier data.
Who signed
Jitendra Wadhane, Principal Financial and Accounting Officer, signed the 8-K on July 2, 2026.
