Praxis Precision Medicines priced an underwritten public offering on Jan. 6, 2026 of 2,212,000 common shares at $260.00 each, for gross proceeds of about $575 million. The Boston-based company develops treatments for brain disorders caused by an imbalance between neuronal excitation and inhibition. It is the second large stock sale in about three months.
What happened
The company sold all the shares itself. The pricing release gave the underwriters 30 days to buy up to 331,800 more shares at the same price. Closing was expected on or about Jan. 8. The release did not state a use for the money and did not name the buyers.
The deal came six days before Praxis laid out its 2026 plan. In that Jan. 12 outlook release, the company said it expected to submit new drug applications for ulixacaltamide in essential tremor and relutrigine in SCN2A and SCN8A developmental and epileptic encephalopathies by mid-February 2026. Both drugs carry FDA Breakthrough Therapy Designation.
Deal terms
Piper Sandler, TD Cowen, Guggenheim Securities and Truist Securities were the joint book-running managers. LifeSci Capital, Baird and Oppenheimer were lead managers, and H.C. Wainwright and Needham were co-managers. The shares were sold off an automatic shelf registration that took effect on Dec. 23, 2024, according to the pricing release.
Praxis later reported that the January offering brought in $621.2 million in net proceeds. That is more than the $575 million base size. The sources reviewed do not explain the gap, though the underwriters held an option for 331,800 additional shares.
Why it matters
Praxis ended 2025 with $926.1 million in cash, cash equivalents and marketable securities, up from $469.5 million a year earlier, according to the same year-end filing. Adding the January proceeds, the company said in its outlook release that pro forma cash was about $1.5 billion. It also said its October 2025 offering raised about $567 million. In its February year-end release, Praxis said its resources should fund operations into 2028.
The cash pays for a heavy 2026. Praxis planned two NDA filings, pre-launch work for ulixacaltamide, and several readouts: a Phase 3 trial of vormatrigine in focal onset seizures called POWER1, due in the first half of 2026, and the EMBRAVE trial of elsunersen. The company's own estimates of peak sales, which it published in the outlook release, run above $10 billion for ulixacaltamide. Those are management projections, not forecasts from an independent source.
What it means for investors
For a company preparing its first NDAs, a $1.5 billion balance sheet removes near-term financing risk and lets it build a sales force without a rushed raise. It also means existing holders were diluted at $260 a share, and the stock now has to justify a large market value on regulatory and launch milestones that have not happened yet.
Regulatory odds are the main variable. Industry data from BIO, Informa and QLS put the chance that an NDA or BLA reaches approval at 90.6% across 2011 to 2020, and 93.6% for rare disease. Breakthrough status and positive registrational data help, but approval is not assured, and a label narrower than hoped would matter for the peak-sales story. Relutrigine's early stop for efficacy came from an interim analysis, so the filing rests on the registrational cohort the company has described.
Execution risk is separate. Launching two drugs in different settings, essential tremor and a group of rare epilepsies, is a different task from running clinical trials.
What to watch
The first marker is FDA acceptance of the two applications, which the company expected to file by mid-February 2026. After that, the POWER1 vormatrigine topline readout, guided to the first half of 2026 in the outlook release, and presentations of ulixacaltamide data at the American Academy of Neurology meeting on April 19 to 22.
