Polomar Health Services, Inc. reported in a Form 8-K dated June 15, 2026 that it has terminated its merger agreement with Altanine, Inc. The company, Altanine and Polomar Merger Sub, Inc., a wholly owned subsidiary of Polomar, had signed an Agreement and Plan of Merger dated July 23, 2025. That agreement provided for Merger Sub to merge into Altanine, with Altanine surviving as a wholly owned subsidiary of Polomar.

The amendments

The parties signed a First Amendment dated October 8, 2025, which changed the preferred exchange ratio. The filing says a second amendment was later proposed to amend the agreement further and waive certain closing conditions. That second amendment was never ratified, adopted or executed, and the filing says it has no force or effect.

The termination

The parties agreed that the merger was no longer in the best interests of their respective corporations and their shareholders. The amended merger agreement was terminated in its entirety as of June 12, 2026, under a Termination Agreement and Mutual Release. The agreement is attached to the filing as Exhibit 10.1. Terrence M. Tierney, who signed the report as president, filed it with the SEC.

The patent license

Under Section 4 of the termination agreement, Polomar and Pinata Holdings, Inc., a wholly owned subsidiary of Altanine, agreed to terminate, as of June 12, 2026, a Know How and Patent License Agreement dated June 29, 2024, as amended and restated on January 9, 2025. The company has until September 7, 2026, to sell, distribute or otherwise dispose of any remaining inventory or products developed or manufactured under that agreement.

Company background

Polomar's annual report filed May 6, 2026 says the company is substantially dependent on licensed patent and other proprietary rights. It warns that failing to protect those rights, or failing to succeed in litigation over them, may result in significant monetary damages or royalty payments. The report describes Polomar as a development stage company with a limited operating history and limited sales history. Its risk summary says the company has not yet established any material and recurring revenues.

The same report says a significant portion of Polomar's business may infringe on existing patents, and that patent litigation may be expensive and time consuming. It warns that if the company becomes involved in such litigation, it could cause delays in bringing product candidates to market and harm its ability to operate.

The agreement is titled a Termination Agreement and Mutual Release. The filing's description of it is a summary that is qualified by the full text of Exhibit 10.1.

Financial position

SEC XBRL data reports revenue of $648,231 for the fiscal year ended December 31, 2025, compared with $58,824 for 2024. Net loss was $10.7 million for 2025, compared with $1.3 million for 2024. Cash from operations was negative $395,995 in 2025. Year-end cash and cash equivalents were $132,150 at the end of 2025, and the data shows cash and cash equivalents of $87,818 at March 31, 2026.

What the termination leaves open

The filing gives no reason for the collapse beyond saying the merger was no longer in the parties' best interests, and it does not say whether any payment changed hands. Ending the licence also ends the rights behind products the company has been selling, with only until September 7, 2026 to dispose of remaining inventory. That is the only forward date in the filing, and the company had $87,818 in cash at March 31, 2026. The report does not describe a replacement for the terminated merger or any plan for the patents covered by the terminated license. The annual report also says that if the company fails to obtain additional financing, it may be unable to complete the roll-out of its business and services.
