Pluri Inc. agreed on April 25, 2025 to exchange 976,139 of its common shares held by an investor for pre-funded warrants to buy the same number of shares.

The investor is a company wholly beneficially owned by Alejandro Weinstein, a non-U.S. investor and a director of Pluri, according to the Form 8-K. The exchange was made through an amendment to an earlier securities purchase agreement.

Under that agreement, Pluri had issued the investor 1,383,948 common shares, pre-funded warrants for up to 26,030 shares and warrants for up to 84,599 shares.

A pre-funded warrant is a right to receive shares for a nominal exercise price, here $0.0001 per share. The new warrants have the same terms as the earlier ones. They can be exercised only after Pluri receives certain shareholder approvals required by the rules of the Nasdaq Capital Market, and they remain exercisable until used in full. Until shareholder approval is obtained, they are subject to a 19.99% beneficial ownership limit. The warrants also carry customary anti-dilution provisions.

Pluri said the securities are exempt from registration under Section 3(a)(9) of the Securities Act of 1933. They have not been registered under that act.
