PharmaCyte Biotech, Inc. (Nasdaq: PMCB) told the Securities and Exchange Commission on December 15, 2025 that it cannot file its quarterly report for the period ended October 31, 2025 on time. The company filed a Form 12b-25 notification, known as an NT 10-Q, and said it will file the Form 10-Q no later than the fifth calendar day after the December 15 due date.

The reason given

The notice gives one reason. The company says it needs more time to prepare and review its financial statements so that the 10-Q includes adequate disclosure of the required financial information. It says the delay could not be eliminated without unreasonable effort and expense. Carlos Trujillo is the contact named on the form, and Joshua N. Silverman, Chief Executive Officer and President, signed it.

The notice answers yes to whether all other periodic reports for the preceding 12 months have been filed. It answers no to whether the company expects a significant change in results of operations from the same period a year earlier. The company's principal executive office is at 3960 Howard Hughes Parkway, Suite 500, in Las Vegas, Nevada. The notice gives no figures for the quarter.

The partner and the patents

The company's annual report for the year ended April 30, 2025, filed August 11, 2025, says the board is reviewing risks tied to its development programs and to its relationship with SG Austria Pte. Ltd. The report says all licensed patents have expired, and that know-how for the Cell-in-a-Box technology resides solely with SG Austria. The Cell-in-a-Box technology is a cellulose-based live cell encapsulation platform.

The report says the board has reduced spending on its programs, including preclinical and clinical activities, until the review is complete. The Strategic Scientific Committee, formed on November 17, 2023 and chaired by Dr. Michael Abecassis, is leading that review. The committee's recommendations will include potentially seeking a new framework for the relationship with SG Austria and its subsidiaries. The company says it is reevaluating programs that depend on SG Austria and on U.S. Food and Drug Administration acceptance of its technologies.

The report also flags going-concern risk. It says the company's financing needs could threaten its ability to continue as a going concern, and that its operating requirements depend on whether it can complete the studies requested by the FDA.

The clinical program

PharmaCyte describes itself as developing cellular therapies for cancer based on Cell-in-a-Box. The platform is intended to deliver therapies for several cancers. The current product candidate is called CypCaps. The company's planned trial is for locally advanced, inoperable, non-metastatic pancreatic cancer, which it calls LAPC.

The trial cannot start until the FDA approves the company's Investigational New Drug application. The report says that approval depends on the company completing the studies the FDA has requested and submitting a response to the agency's clinical hold. The company says that during the year ended April 30, 2024 it decided to stop research and development in the treatment of diabetes. The report ties the planned trial's timing to those FDA steps.

Listing and the record

The annual report says PharmaCyte's shares have traded on the Nasdaq Capital Market under the symbol PMCB since August 10, 2021. The report lists approximately 1,400 stockholders as of July 30, 2025. It names Mr. Weinstein as chairman of the audit committee.
