- Outlook Therapeutics, Inc. Form NT 10-Q filed August 17, 2026 (SEC EDGAR)

Outlook Therapeutics, Inc. (Nasdaq: OTLK) told the Securities and Exchange Commission on August 17, 2026 that it cannot file its quarterly report for the period ended June 30, 2026 on time. The company filed a Form 12b-25 notice, usually called an NT 10-Q, and said it expects to file the Form 10-Q within the extra five calendar days that the rule allows after the due date. Lawrence A. Kenyon, Chief Financial Officer, signed the notice.
An NT 10-Q gives a public company a short grace period when it needs more time for a quarterly report and explains why. The notice does not contain any financial results, and it gives no estimate of them. The company checked the box for the grace period on the form.
The reasons given
The company says it cannot file the report without unreasonable effort or expense. It gives three reasons: its size, recent turnover in its finance department, and the time its finance staff spent on a public offering that closed on August 14, 2026. The company says it has had limited internal accounting and finance staff to review and prepare the financial statements.
The notice does not name the underwriter for that offering or give its size. It also does not say whether the company has received any notice from Nasdaq about the late filing.
In Part IV, the company answered yes when asked whether all other periodic reports due in the past 12 months had been filed. It answered no when asked whether it anticipates a significant change in results of operations from the same period a year earlier.
The last annual report
The company's annual report on Form 10-K, filed December 19, 2025 for the fiscal year ended September 30, 2025, says there is "substantial doubt about our ability to continue as a going concern." It says the company will need substantial additional funding to develop and sell ONS-5010/LYTENAVA outside the European Union and the United Kingdom. It also warns that raising capital, including changes to its existing convertible securities, may dilute shareholders.
The same report puts the company's net loss at $62.4 million for fiscal 2025, down from $75.4 million a year earlier. Cash used in operations fell to $51.8 million from $68.8 million. Research and development expense dropped to $27.2 million from $41.8 million. The company had $14.9 million in cash and cash equivalents at the end of fiscal 2024.
The product and the FDA
Outlook describes ONS-5010/LYTENAVA as the first ophthalmic formulation of bevacizumab approved in the European Union and the United Kingdom for wet age-related macular degeneration. It launched in Germany and the UK in June 2025. The company says it has generated minimal revenue from product sales to date.
In the United States, the FDA issued a second Complete Response Letter in August 2025 on the resubmitted Biologics License Application. The agency said the application did not contain substantial evidence of effectiveness and that additional well-controlled clinical evidence would be required. The company held a Type A meeting with the FDA in September 2025, resubmitted the application, and received a goal date of December 31, 2025 for a decision. The notice does not report the outcome of that review.
The company's chairman is Faisal G. Sukhtian, and Robert C. Jahr is chief executive officer, according to the annual report.
