OS Therapies Inc. said on October 19, 2026 that the initial closing of its warrant exercise inducement and exchange offer brought in $7.2 million in gross proceeds, before solicitation agent fees and other offering expenses. The company announced the closing in a press release filed as an exhibit to a Form 8-K the same day.
The offer went to nine accredited investors who held existing warrants. They could exercise, or pre-fund the exercise of, those warrants for cash at a reduced price of $1.30 per share, or $1.299 per share for a pre-funding. The release says a significant majority of the warrants exercised had carried an exercise price of $1.40 per share.
What the holders received
Seven holders exercised or pre-funded warrants for an aggregate of 5,517,253 shares of common stock at the initial closing. In return, the company issued them new warrants to buy up to 5,517,253 shares at $1.40 per share, in a private placement. The new warrants cover the same number of shares as the exercise, so the holders keep a right to buy as many shares again at $1.40.
The release credits the structure with "minimizing dilution to existing stockholders." That claim is the company's own. The release does not say how much dilution the new warrants represent, and it refers to subsequent closings without giving their size or timing. The offer expires at 11:59 p.m. Eastern time on October 30, 2026, unless it is extended or ended earlier.
The release refers to solicitation agent fees but does not name the agent, and it does not name any counsel. It refers readers to the company's Form 8-K for the material terms of the offer.
Cash, losses and the tax credit
The release says the proceeds, together with accrued refundable U.K. research and development tax credits, are "expected to provide operating runway through major upcoming milestones." The financial record shows the spending behind that runway.
Cash and cash equivalents were $269,830 at the end of 2025 and $205,035 at June 30, 2026, according to the company's 10-Q. Cash used in operations was $14.2 million in 2025, up from $7.3 million in 2024. The net loss was $28.8 million in 2025, against $8.9 million in 2024. Research and development expense rose to $16.4 million in 2025 from $2.8 million in 2024.
The company has accrued $7 million in refundable U.K. research and development tax credits through its U.K. subsidiary. The tax credit filing with His Majesty's Revenue and Customs is expected in the fourth quarter of 2026, and receipt is expected in early 2027. A credit that arrives in early 2027 adds no cash before then. The release does not give the company's cash balance after the initial closing.
The clinical work behind the offer
The company's lead candidate is OST-HER2, which the company now calls Herlystic. The annual report filed March 31, 2026 says the company opened a clinical study in 2021 to generate data for the FDA on OST-HER2 in patients after resection of recurrent osteosarcoma. That study reached full enrollment of 41 patients in October 2023.
The company announced in the first quarter of 2025 that the Phase IIb trial achieved its primary endpoint with statistical significance. In October 2025 it reported final two-year overall survival data. The annual report says 75% (27 of 36 evaluable patients) of OST-HER2-treated patients were alive at two years from their most recent pulmonary resection, compared with 40% in historical control patients. The 75% figure counts 36 evaluable patients, while 41 were enrolled, and the comparison is with historical controls rather than a concurrent control group.
The release says the company expects to complete early market access regulatory submissions for Herlystic in the United States, the United Kingdom, Europe and Australia in the fourth quarter of 2026. The annual report also said the company expected to start confirmatory clinical studies in the third quarter of 2026 to support conditional approval pathways. The release does not say whether those studies have started.
The company describes itself as the world leader in gene-edited, Listeria-based cancer immunotherapies. The release does not cite a source for that ranking, and it does not say that any regulator has approved Herlystic.
