Opus Genetics, Inc. (Nasdaq: IRD) closed an underwritten public offering on March 24, 2025 with gross proceeds of approximately $20.0 million, before underwriting discounts and commissions and offering expenses. In a separate private placement, the company agreed to sell shares to its chief executive officer and the chairman of its board. The company reported both deals in a Form 8-K filed March 24, 2025. Opus Genetics is based in Durham, NC.
The public offering
Under an underwriting agreement dated March 21, 2025, Craig-Hallum Capital Group LLC acted as sole underwriter. The company agreed to sell 12,219,736 shares of common stock and warrants to buy up to 21,052,631 shares. Each share came with one warrant to buy one share, at a public price of $0.95 per share. The company also agreed to issue 8,832,895 pre-funded warrants at $0.9499 each. A pre-funded warrant lets the holder buy a share for a nominal exercise price, here $0.0001 per share, after paying nearly all of the price up front.
The underwriting agreement names Craig-Hallum as representative of the underwriters. It defines Ernst & Young LLP as the company's auditor and Sidley Austin LLP as company counsel, whose opinion on the securities is attached to the 8-K as Exhibit 5.1. The filings do not name separate counsel for the underwriter. The offering was made under a Form S-3 shelf registration statement (File No. 333-276462) filed January 10, 2024, with a prospectus dated January 23, 2024.
The 8-K gives gross proceeds but no net figure, and it gives no cash balance. The filing therefore does not show how long the money will last.
The warrant terms
Each warrant has an initial exercise price of $0.95 per share and lasts five years. A holder cannot exercise if the result would be more than 4.99% of outstanding common stock, or 9.99% at the holder's election. If no registration statement covers the shares when a holder exercises, the holder may take a net number of shares instead of paying cash.
The company may call the warrants in some circumstances. Those include an announcement of OPGx-BEST1 DUO-1001 Cohort 1 data, a 30-day volume weighted average price above $1.43, average daily volume above $150,000, and a holder that does not hold material non-public information from the company. The company could then cancel unexercised warrants for $0.001 per warrant share. The 8-K does not say whether that data has been announced.
The insider placement
On March 21, 2025, the company entered into a subscription agreement with Dr. George Magrath, its chief executive officer, and Cam Gallagher, chairman of its board. The company agreed to sell 1,176,471 shares at $1.275 per share, each with a warrant to buy one share at $1.15 that expires after five years.
The insiders paid $1.275 per share, above the $0.95 public price set in the offering days earlier. The 8-K does not explain the difference. The insider warrants can also be called 30 days after the company releases OPGx-BEST1 DUO-1001 Cohort 1 data, if the stock's 30-day volume weighted average price is above $1.725 and average daily volume is above $150,000. The 8-K does not name a placement agent for the insider sale.
The business behind the warrants
The annual report for fiscal 2023 was filed under the name Ocuphire Pharma, Inc. It describes a clinical-stage biopharmaceutical company focused on novel therapies for retinal and refractive eye diseases. That report does not mention OPGx-BEST1, the program whose data would trigger the call provisions in both sets of warrants. Investors reading the older report alone would not see how the trigger program is described.
