OnKure Therapeutics, Inc. (Nasdaq: OKUR) filed a prospectus supplement on August 4, 2026 covering sales of up to $100,000,000 of its Class A common stock. The sales would run through an at-the-market (ATM) program with Leerink Partners LLC, which acts as agent or principal under a sales agreement dated November 6, 2025. In an ATM program, a company sells shares into the open market over time rather than in a single offering.
Who is selling, and at what cost
Leerink Partners is the only bank named for the program. Its compensation is up to 3.0% of the gross proceeds from each share sold, so 3.0% is a ceiling, not a fixed fee. The supplement does not say how many shares the company expects to sell or at what prices.
Why the supplement was filed
OnKure says it is no longer subject to General Instruction I.B.6 of Form S-3, a rule that limits how much a company may sell under a shelf registration. The supplement amends the original ATM prospectus supplement dated November 26, 2025, which was filed with registration statement No. 333-291334 on November 6, 2025. If the company becomes subject to those limits again, it will file another supplement.
The limit is tied to the company's public float. The supplement puts the aggregate market value of Class A stock held by non-affiliates at $167.3 million as of August 3, 2026. That figure uses 36,368,892 shares and a price of $4.60, the closing price on July 6, 2026.
No shares sold yet
As of August 4, 2026, OnKure had not offered or sold any shares under the program. The filing is a change to the terms that govern future sales, and it does not report a sale.
The financial position
The company's 2025 annual report, filed March 12, 2026, shows a net loss of $59.5 million for 2025, up from $52.7 million in 2024. Research and development expense rose to $48.3 million from $43.8 million. Cash used in operations was $51.8 million in 2025, against $51.1 million in 2024. Cash and cash equivalents were $110.8 million at year-end 2024, and the financial data report no revenue for 2024.
The company's June 30, 2026 figures show cash and cash equivalents of $166.5 million and short-term investments of $9.9 million. The supplement does not give a use of proceeds, and it does not say why the company is putting the ATM in place now.
The lead program
The 2025 annual report describes OKI-219 as the company's lead product candidate, a highly selective inhibitor of mutant PI3Kα with the H1047R mutation, in breast cancer. The report gives it roughly 80-fold selectivity for the mutant form over the wild-type enzyme, and it says OKI-219 is in a first-in-human Phase 1 trial called PIKture-01. The company expects to report data from the monotherapy and fulvestrant arms, with initial data from the triplet arms, in 2026. The pharmacokinetic data it cites are preliminary, with a cutoff of October 28, 2024.
Risk language
The supplement says OnKure is an emerging growth company and a smaller reporting company, which lets it use reduced public company reporting. Investors are directed to the risk factors on page S-6 of the prospectus and in the company's most recent annual or quarterly report. The supplement itself describes no new risks, and it lists the company's Class A stock on the Nasdaq Global Market under the symbol OKUR.
