Nutra Pharma Corp. (OTC) filed a Form 12b-25 notification of late filing on August 14, 2026 for its quarterly report on Form 10-Q for the period ended June 30, 2026. The company says it needs more time because its management and auditors must prepare certain financial information for the report. The notice is signed by Michael Flax, DDS, president. The filing gives no date by which the report will be filed.
The notice says the company does not expect a significant change in results from the comparable period of last year, and it gives no estimate of any change.
Losses and cash in the annual report
The annual report, filed May 20, 2026, reports a net loss of $2.0 million for 2025, compared with $1.3 million for 2024. Cash used in operations was $1.2 million in 2025, up from $423,959 in 2024. Cash and cash equivalents were $12,181 at December 31, 2025, down from $36,447 a year earlier.
The cash balance is small against the losses the company reports. Its operating cash use rose sharply in 2025, and the year-end cash balance is a fraction of one year's operating outflow.
The products
Nutra Pharma describes itself as a biopharmaceutical company that acquires, licenses and commercializes pharmaceutical products and technologies, including homeopathic and ethical drugs for the management of pain, neurological disorders, cancer, autoimmune and infectious diseases. The company says it has operated since October 2003.
It has four fully developed homeopathic pain relievers: Nyloxin and Nyloxin Extra Strength, Pet Pain-Away for cats and dogs, Equine Pain-Away for horses, and Luxury Feet for foot pain from high heels. Nyloxin is sold as a topical gel and an oral spray, and the company says it is clinically proven to treat moderate to severe chronic pain. The company says the Nyloxin products offer a pain reliever that does not rely on opiates or NSAIDs. Nutra Pharma moved all of its manufacturing in-house in March 2022, which it says reduces product costs and raises margins.
The company says its operations from October 2009 to December 31, 2025 centered on marketing Cobroxin, which it discontinued in 2013, along with Nyloxin. The annual report says Cobroxin is expected to be reintroduced later in 2026. It also lists private-label manufacturing for third parties, and a formulator and contract manufacturing agreement with Avini Health, a related party.
The annual report cites the U.S. Pain Foundation for a figure of 51.6 million U.S. adults living with chronic pain. It also cites The Business Research Company for a global chronic pain market of $78.79 billion in 2024, which it expects to exceed $117 billion by 2029. Those market figures are third-party estimates, and the report does not give Nutra Pharma's sales in any part of that market.
The drug candidates
Nutra Pharma says it has two drug candidates. RPI-78M is intended for neurological and autoimmune diseases, including multiple sclerosis, ALS, rheumatoid arthritis and myasthenia gravis. RPI-MN is intended for viral diseases, including HIV/AIDS and herpes. Both are subject to FDA approval.
The company says it received an orphan designation from the FDA in September 2015 for pediatric multiple sclerosis. The annual report also says it is pursuing its technology as a possible nerve agent countermeasure. Those are the company's own statements.
What comes next
The company's main near-term events are the late quarterly report and the expected return of Cobroxin later in 2026. The notice does not say whether the late report will show a change from the year-end cash position of $12,181.
