- MPLT SCHEDULE 13D/A

Novo Holdings A/S reported that it fell below five percent beneficial ownership of MapLight Therapeutics common stock on 2026-07-30. The amended Schedule 13D described open-market share sales on that date. The sales were between Novo Holdings and the market, so MapLight received no money from them.
The schedule reported a remaining position of 2,086,622 shares, or approximately 4.9% of the voting common stock. The filing describes Novo Holdings as a Danish corporation wholly owned by a foundation.
The details
The largest sale was 1,314,195 shares in a single transaction at $12.00 per share.
Novo Holdings also sold 220,723 shares at prices from $13.55 to $14.54, with a $14.19 weighted average, and 65,082 shares at prices from $14.55 to $15.00, with a $14.69 weighted average. In total it sold 1,600,000 shares on the day (our arithmetic), which implies a position of 3,686,622 shares before the sales.
Novo Holdings reported sole voting and dispositive power over the remaining shares. The filing says neither the foundation nor the people listed in its schedule can direct the vote or sale of those shares.
Context
The 4.9% figure uses 42,618,165 shares outstanding at 2026-05-07, taken from MapLight's quarterly report filed on 2026-05-14. MapLight later sold 9,197,887 more voting common shares in an August 2026 private placement, so the same holding would be a smaller percentage of the later share count.
Novo Holdings had been an investor before the IPO. MapLight's proxy statement shows it bought 19,734,671 Series D preferred shares in 2025, and board member Jim Trenkle is a partner at Novo Holdings US, Inc., which provides consulting services to Novo Holdings A/S. The original Schedule 13D was filed on 2025-11-04, a week after the IPO closed on 2025-10-28.
What it means for investors
The filing is a reduction, not an exit: Novo Holdings still reported about 2.1 million shares. If the holding were unchanged, it would be about 3.8% of the 55,575,719 common shares, including non-voting shares, that MapLight reported outstanding at 2026-09-01 (our arithmetic). The filing gives no reason for the sales. The $12.00 block price was below the weighted-average prices of the other two groups sold that day, and below the $17.00 IPO price of October 2025.
What to watch
The amended schedule was signed on 2026-07-31 by Barbara Fiorini, general counsel, finance and operations. The amendment does not describe plans for the remaining 2,086,622 shares.
